Position Summary
The
General Counsel
will be the most senior legal officer within Khazna, reporting directly to the CEO and advising the Company’s Directors. This Executive-level role is responsible for overseeing all legal, compliance, and regulatory matters for the company.
The ideal candidate is a strategic, business-minded lawyer with expertise in banking, financial services, and lending regulations across Egypt (FRA and CBE) and KSA (SAMA). They should be capable of leading and supervising a regional team and possess a hands-on approach, while working closely with both internal legal staff and external counsel to navigate a complex and rapidly evolving regulatory environment.
Key Responsibilities
Strategic Legal Counsel:

Serve as a trusted advisor to the CEO, executive team, and Board of Directors on all legal matters, business strategy, and risk management.
Corporate Governance & Transactions:

Manage corporate governance matters, including board and committee meetings and corporate secretarial duties.

Provide legal guidance and support for strategic transactions, including fundraising rounds, mergers and acquisitions (M&A), potential listing (IPO), and corporate structure.
Regulatory & Compliance:

Oversee all legal and regulatory compliance, ensuring the company adheres to FRA (consumer finance) and CBE (payments) directives and regulations in Egypt.

Act as the primary point of contact for and manage relationships with regulatory bodies in Egypt and KSA (consumer micro finance license).

Partner closely with all functions and team leaders to provide proactive legal advice on the development and launch of new products and features, ensuring they are compliant and mitigate legal risk.
Commercial Legal Support:

Draft, review, and negotiate a wide range of complex commercial agreements including joint ventures and first-to-market partnerships with private and public sector entities.

Maintain a robust contract review, signing, and archiving process with counterparties.

Supervise any litigation or disputes and coordinate with relevant stakeholders within the group to reach resolution.
Team Leadership:

Build, mentor, and lead a high-performing legal and compliance team, fostering a culture of collaboration, integrity, and excellence.

Manage and optimize relationships and legal spend with external counsel.
Qualifications

Law degree, with active membership in good standing with the Egyptian Bar Association preferred.

8–10 years of legal experience, including senior in-house leadership roles within fintech, financial services, or large corporate organizations.

Strong knowledge of consumer financial and payments regulations is preferred.

Proven success in fast-paced, high-growth environments.

Exceptional ability to balance legal risk with business objectives and commercial realities.

Strong leadership and people management skills, with demonstrated experience in building and scaling teams.

Excellent communication, negotiation, and interpersonal skills, with the ability to translate complex legal issues for diverse stakeholders.

Strategic thinker with a proactive, hands-on approach to problem-solving.

Experience in corporate governance and strategic transactions (e.g., IPOs, fundraising rounds—equity and/or debt, M&A) is a plus.
