General Counsel

Role Overview

We are seeking an exceptional General Counsel to act as a trusted adviser to the CEO and Board, and to lead all legal, regulatory, and governance matters across the Group. This role is ideal for a commercially minded lawyer trained at a top-tier law firm, with deep experience supporting telecommunications and/or technology-driven businesses.

The General Counsel will play a critical role in enabling growth, managing risk, navigating complex regulatory environments, and supporting strategic initiatives including M&A, partnerships, and international expansion.

Key Responsibilities

Strategic & Commercial Advisory

• Act as principal legal adviser to the CEO, Board, and senior leadership team.
• Provide pragmatic, commercially focused legal advice aligned with business objectives.
• Support strategic initiatives including acquisitions, joint ventures, product launches, and market entry.

Corporate & Governance

• Oversee corporate governance, Board and committee processes, and shareholder matters.
• Manage company secretarial obligations and ensure compliance with applicable corporate laws.
• Support capital raises, financing arrangements, and investor relations as required.

Regulatory & Compliance

• Lead all regulatory matters, with particular focus on telecommunications, technology, data, and digital services regulation.
• Maintain oversight of compliance frameworks (e.g. telecoms licensing, data protection, cybersecurity, competition law).
• Engage with regulators and industry bodies as needed.

Commercial Contracts

• Oversee drafting, negotiation, and management of complex commercial agreements, including:
• Technology and SaaS agreements
• Telecoms supply and network agreements
• Customer, partner, and vendor contracts
• Develop scalable contracting processes and playbooks.

Risk Management & Disputes

• Identify and manage legal and regulatory risk across the business.
• Oversee disputes, litigation, and external counsel relationships.
• Lead internal investigations and manage sensitive issues.

Leadership & Legal Function

• Build, lead, and develop a high-performing in-house legal team.
• Manage external advisers efficiently, ensuring high-quality advice and cost control.
• Embed a strong legal, ethical, and compliance culture across the organisation.

Candidate Profile

Experience

• Qualified lawyer with training at a top-tier / Magic Circle / elite international law firm.
• Significant post-qualification experience, including:
• Time in private practice, ideally followed by senior in-house experience.
• Direct experience in telecommunications, technology, digital, or regulated industries.
• Proven experience advising senior executives and Boards.

Technical Expertise

• Strong grounding in corporate law, commercial contracts, and regulatory matters.
• In-depth understanding of telecoms and/or technology regulatory frameworks.
• Experience with data protection, cybersecurity, and IP is highly desirable.
