Job Summary
The Governance Manager is responsible for managing and enhancing corporate governance practices within a semi-government organization. The role ensures alignment with government regulations, national governance frameworks, and best practices, while supporting transparency, accountability, and effective oversight. The position works closely with executive management, oversight committees, and external regulators to ensure sound governance across the organization.
Key Responsibilities

Develop, implement, and maintain governance frameworks, policies, and procedures in line with Saudi government regulations, national governance standards, and best practices for semi-government entities.

Ensure compliance with applicable laws, regulations, government directives, and internal governance policies.

Manage governance activities related to the Board of Directors and committees, including agendas, minutes, resolutions, and follow-up on decisions.

Advise the Director of Governance, Risk & Compliance and executive management on governance requirements, regulatory updates, and compliance matters.

Monitor and evaluate the effectiveness of governance practices and recommend improvements to enhance accountability and transparency.

Coordinate with Risk Management and Compliance teams to ensure alignment and integration across GRC functions.

Support the implementation and monitoring of codes of conduct, ethics policies, and conflict of interest frameworks in line with public sector standards.

Prepare governance-related reports, disclosures, and documentation for government entities, oversight bodies, and regulators.

Promote a culture of governance, compliance, and ethical conduct across the organization.

Contribute to governance awareness and training programs for employees and management.
Qualifications & Experience

Bachelor’s degree in Law, Business Administration, Public Administration, Finance, or a related field (Master’s degree preferred).

Professional certifications in Governance, Compliance, Risk Management, or related areas are highly desirable.

Minimum of 7–10 years of experience in governance, compliance, risk, or legal roles, preferably within a government or semi-government organization.

Strong knowledge of Saudi government regulations, governance frameworks, and public-sector best practices.

Experience working with Boards, steering committees, or government oversight bodies.

Compensation
The role offers a
monthly salary ranging from SAR 35,000 to SAR 40,000
, commensurate with qualifications and experience, along with benefits in accordance with semi-government policies.
