Job Title: Junior Company Secretary

About the Role
We are looking for a proactive Junior Company Secretary to support the corporate governance, statutory compliance, and administrative functions for Genesis Group and MTW Group – a growing ecosystem of companies across F&B, Retail, Travel, Real Estate, PropTech, Investment, and more.
This role will assist in managing 15+ current companies (with more planned) in India and abroad, ensuring timely filings, shareholder documentation, and internal compliance under the guidance of the Senior Company Secretary.
Key ResponsibilitiesStatutory & Regulatory Compliance
- Prepare and file ROC returns, annual returns, and other MCA filings.
- Assist in share allotments, transfers, buy-backs, and maintenance of share registers.
- Ensure compliance under Companies Act 2013, FEMA, and other applicable Indian laws.
- Support in SEBI or RBI filings (if applicable for group transactions).
Corporate Records & Documentation
- Maintain statutory registers (members, directors, charges, etc.).
- Prepare board meeting notices, agendas, and minutes for multiple companies.
- Draft resolutions for routine company matters.
- Maintain accurate digital & physical corporate records for each entity.
Support in Group Structuring & Transactions
- Assist in preparing and updating group company charts & ownership structures.
- Help in coordinating inter-company agreements, JV agreements, and MOUs.
- Assist in ESOP record-keeping and employee communication.
Tax & Audit Coordination
- Liaise with finance and tax teams for ITR filing deadlines.
- Coordinate with statutory auditors for secretarial compliances.
Liaison & Coordination
- Interface with the ROC, MCA, RBI, and other regulatory bodies as needed.
- Communicate with external consultants, lawyers, and bankers on basic documentation.
Special Projects
- Assist in setting up new domestic and foreign subsidiaries.
- Support in due diligence activities for investments via Genesis Capital.
- Help in preparing investment documentation and data rooms for fundraising.
Required Skills & Qualifications
- CS Executive or semi-qualified CS; fresh CS graduates may also apply if they have relevant internship experience.
- Strong knowledge of Companies Act 2013 and ROC/MCA filing processes.
- Proficiency with MCA portal and corporate compliance tools.
- Good drafting and documentation skills.
- Basic understanding of FEMA, SEBI regulations, and investment documentation will be a plus.
- Proficiency in MS Office (Word, Excel, PowerPoint).
Experience
- 0.5–2 years of relevant experience (articleship, internships, or prior employment).

- Highly organized with attention to detail.
- Strong communication and coordination skills.
- Ability to manage multiple deadlines across companies.
- Willingness to learn and take initiative in a fast-paced group environment.
Compensation
- Market Range: ₹3.0 – ₹5.5 LPA depending on experience and capability.
