The JV Manager plays a key role in identifying, evaluating, structuring, and executing mergers, acquisitions, joint ventures, and strategic partnerships aligned with company’s strategic objectives. The role involves leading commercial and financial analysis, coordinating due diligence, supporting negotiations, and developing business cases that enable informed investment decisions. The JV Manager works closely with internal stakeholders and external advisors to ensure that transactions create sustainable value for the company and support the development of Oman’s mining sector.
2. Duties and Responsibilities
A. Strategic & Analytical ·
Identify and evaluate strategic investment, acquisition, and partnership opportunities in mining and mineral value-chain sectors.
- Conduct market intelligence, benchmarking, and competitive analysis to support company’s investment strategy.
- Develop financial models, valuation assessments, and feasibility analysis to assess potential deals.
· Prepare investment memos, board papers, and presentation materials for senior management and Board decision-making.
- Support the development and periodic review of the JV strategy and pipeline aligned with the company’s growth priorities.
B. Transaction Execution
· Lead commercial workstreams during transaction execution, including deal structuring, due diligence coordination, valuation, and negotiation support.
- Manage cross-functional teams (technical, legal, financial, ESG, operations) to ensure timely and rigorous assessment of opportunities.
- Coordinate with external advisors including investment banks, consultants, legal counsel, and technical experts.
- Participate in negotiation of transaction terms, shareholder agreements, governance arrangements, and post-acquisition integration plans.
- Ensure compliance with internal governance frameworks and investment approval processes.
C. Joint Venture & Partnership Management
- Work with internal stakeholders to assess partnership structures and optimal cooperation models.
- Support establishment and onboarding of joint venture companies including governance, shareholder rights, and commercial terms.
- Monitor performance of existing JVs and investments, identifying improvement opportunities.
D. Reporting & Governance
- Prepare high-quality documentation for Investment Committee, Board Committees, and Executive Management.
- Maintain a clear transaction pipeline dashboard and performance tracking for all ongoing deals.
- Ensure all M&A activities adhere to company policies, regulatory requirements, and international best practices.
3. Minimum Qualification & Experience:
Bachelor’s degree in Finance, Business, Economics, Engineering, or related field. MBA, CFA or equivalent professional qualification preferred.
Experience
Min 7 years experience in JVM&A, corporate finance, investment banking, project development, or private equity. Strong experience in evaluating investments and executing transactions. Exposure to mining, industrial sectors, or infrastructure is an advantage.
Technical Skills
Financial modeling, valuation techniques (DCF, comparables, precedent transactions), commercial structuring, due diligence management, negotiation support, business case development.
