JOB PURPOSE


The Lead – Legal Affairs & Compliance provides advanced legal support across all MAGRABi entities within the region. The role ensures effective legal risk management, delivers high-quality legal advice to business units, and supports the implementation of standardized legal processes, templates, and governance frameworks. This position plays a central role in contract negotiation, corporate documentation, and the development of a unified regional legal function.


Qualifications and Education:


• Bachelor’s degree in law from a recognized university.

• Master’s degree in law or relevant certification (preferred).

• Admitted to the bar in Egypt.

• Excellent legal drafting, negotiation, and analytical skills.

• Strong understanding of corporate governance and regulatory requirements.

• Familiarity with legal archiving systems and contract management processes.

• Proficiency in MS Office; exposure to legal automation tools is an advantage.

• Fluent in Arabic and English (written and spoken).


Experience:


• 7-9 years of post-qualification legal experience.

• Strong background in corporate, commercial, and contracts law.

• M&A experience is a plus.

• Experience supporting multinational or multi-country operations.

• Proven experience handling external counsel and litigation coordination.

• Experience in corporate governance, statutory compliance, and regulatory dealings.


JOB RESPONSIBILITIES


• Draft, review, and negotiate complex and high-value contracts to protect the company’s commercial and legal interests.

• Prepare and manage corporate documentation, including PoAs, shareholder records, board resolutions, and filings, to ensure compliance with governance standards.

• Provide comprehensive legal advice to business units on corporate, commercial, and operational matters to minimize risk and support informed decisions.

• Support litigation and dispute resolution, coordinating with external counsel to ensure efficient case management.

• Develop and maintain standard legal templates, policies, and workflows to enhance consistency across the region.

• Mentor the Executive – Legal Affairs & Compliance, ensuring effective task execution, proper

documentation, and structured archiving.

• Support M&A and restructuring matters, including due diligence, regulatory filings, and integration processes.

• Prepare regular legal, compliance, and risk reports for the Senior Legal Manager to assist in strategic decision-making.

• Support regional legal matters as assigned to ensure alignment across all MAGRABi countries and contribute to the unified regional legal function.
