Legal Affairs Manager

We are seeking an experienced Legal Affairs Manager with advanced expertise in the real estate sector and capital markets to lead the Legal Department and oversee all contractual and regulatory matters.

The successful candidate will ensure full compliance with applicable laws and regulations while supporting the company's strategic initiatives, including IPO/listing projects and corporate restructuring. The role requires providing high-level legal advisory services that safeguard the company's interests and contribute to sustainable business growth in accordance with the highest professional standards.

Key Responsibilities:
  • Lead and oversee all legal matters of the company.
  • Develop and review internal policies and regulations.
  • Ensure compliance with applicable laws and regulatory requirements.
  • Assess and manage legal risks and implement proactive mitigation plans.
  • Establish structured legal request processes and improve departmental efficiency.
  • Develop comprehensive contract standardization plans aligned with the company's strategic objectives.
Contracts & Negotiations
  • Draft, review, and negotiate a wide range of contracts and agreements, including:
  • Real estate development and construction contracts (various models).
  • Off plan sale agreements.
  • Partnership, marketing, leasing, operation, brokerage, and financing agreements.
  • Exit, assignment, and settlement agreements.
  • Legally sensitive notices and formal communications.
  • Proactively manage contractual risks prior to execution.
  • Lead direct negotiations with investors and counterpart legal teams to close agreements while ensuring balanced contractual terms.
  • Collaborate with internal departments to translate operational and commercial needs into effective contractual solutions.
  • Manage and oversee disputes and litigation matters.
  • Coordinate with external legal counsel when required.
Strategic Projects
  • Support the company's IPO/listing process by:
  • Coordinating with regulatory authorities.
  • Working closely with advisors and external auditors.
  • Completing all related regulatory requirements.
  • Participate in corporate restructuring projects and regulate relationships between the parent company, subsidiaries, and affiliated entities.
Qualifications & Requirements
  • Bachelor's degree in Law (Master's degree in Law or Corporate Governance preferred).
  • 2-8 years of legal experience with demonstrated leadership capability.
  • Proven experience in real estate or listed/pre IPO companies.
  • Hands on experience in IPO projects, corporate governance, and restructuring.
  • Strong background in contract drafting and dispute management.
  • Advanced knowledge of local regulations, compliance, and governance frameworks.
  • Excellent negotiation and analytical skills.
  • Strong leadership, organizational, and management abilities.
