Legal Compliance Manager

We are seeking a Legal and Compliance Manager to oversee the legal, regulatory, and compliance functions of our Securities and Exchange Commission of Pakistan-licensed Non-Banking Finance Company (NBFC) operating in the digital lending and fintech sector in Pakistan. The role will be responsible for ensuring ongoing compliance with applicable laws and regulations, managing regulatory filings and communications, supporting legal documentation and contract management, and maintaining internal compliance frameworks.

The successful candidate will work closely with management, business teams, external counsel, auditors, consultants, and regulatory authorities to support the company’s legal and compliance operations and regulatory obligations.

Key Responsibilities:

Regulatory Compliance

• Ensure compliance with applicable laws and regulations relating to NBFCs, digital lending, AML/CFT, consumer protection, and data privacy.
• Monitor regulatory developments and advise management on legal and compliance implications.
• Prepare and coordinate regulatory filings, reports, disclosures, and responses to regulators, including the Securities and Exchange Commission of Pakistan, State Bank of Pakistan, Federal Investigation Agency, and Pakistan Telecommunication Authority.
• Maintain compliance calendars, statutory records, licenses, and regulatory trackers.
• Support regulatory inspections, audits, and licensing matters.

Internal Compliance and Governance

• Implement and periodically review internal policies and procedures, including AML/CFT, KYC, sanctions, consumer protection, and data privacy.
• Conduct compliance monitoring and identify operational or regulatory gaps.
• Prepare compliance reports and management updates.
• Deliver compliance training and awareness programs.

Legal and Contract Management

• Draft, review, and manage commercial contracts, vendor agreements, employment documents, and customer-facing terms.
• Coordinate with external counsel on regulatory matters, disputes, and specialized legal issues.
• Maintain legal records, executed agreements, and correspondence.
• Escalate significant legal and regulatory risks to management.

Consumer Protection and Operational Compliance

• Review customer disclosures, marketing materials, and collection communications.
• Support complaint handling, dispute resolution, and operational compliance.

Corporate Legal Support

• Assist with board resolutions, statutory filings, and corporate secretarial matters.
• Support legal aspects of audits, vendor onboarding, and strategic initiatives.
• Perform other legal and compliance duties assigned by management.

Required Qualifications:

• LL.B. degree; Pakistan bar enrolment is an advantage.
• 3–5 years of relevant experience in legal and compliance roles within an NBFC, fintech, bank, or regulated financial institution.
• Strong knowledge of Pakistan’s NBFC, AML/CFT, digital lending, and consumer protection regulations.
• Experience dealing with the Securities and Exchange Commission of Pakistan is highly preferred.
• Excellent drafting, analytical, organizational, and stakeholder management skills.
• Fluency in English and Urdu.
