Legal Counsel

Global X Management Company LLC (“Global X”) is seeking a highly motivated and experienced AVP, Product Counsel to join our dynamic and growing Legal team. This is a critical role for an attorney with a deep understanding of the regulatory landscape and a passion for navigating the complexities of the Exchange-Traded Funds (ETF) industry.

The ideal candidate will be a proactive self-starter who can manage complex legal processes, support business growth, and act as a strategic partner to our business teams. This role requires a sophisticated professional who can thrive in a fast-paced environment and contribute to the institutionalization of our processes as we scale.

Primary Responsibilities

• ETF Launches & Registrations: Lead or support the legal processes for launching new ETFs. Draft and review SEC registration statements (Form N-1A), coordinate the SEC review process, and ensure compliance with SEC rules and regulations.
• Ongoing Fund Regulatory Compliance: Manage the annual updates of ETF registration statements and other required filings, such as shareholder reports and Form N-CSRs. Ensure timely submission and compliance with the Securities Act of 1933 and the Investment Company Act of 1940.
• 1940 Act Compliance & Fund Governance: Provide legal guidance on the Investment Company Act of 1940 compliance across fund governance, operations, valuation, and distribution. Review and file exemptive applications and required SEC notices. Draft board materials, including legal memos and regulatory updates, and review board meeting minutes.
• Global Distribution Support: Advise on international distribution strategy and compliance, including cross-border marketing rules and coordination with local counsel. Draft and negotiate selling agreements and platform listing documents.
• Transactional and General Legal Support: Review fund contracts (e.g., custodian, index provider agreements), assist with SEC and other regulatory inquiries, and partner cross-functionally to support the firm’s business and legal priorities.
• Collaborative Team Leadership: Work closely with a valued team of paralegals and attorneys in a flat organizational structure. Take ownership of workstreams, proactively manage projects, and contribute to a collegial and results-oriented environment.

Required Skills & Experience

• J.D. and Bar Admission: Juris Doctor (J.D.) from an accredited law school and admission to the New York Bar (or eligible for in-house counsel registration in NY).
• Experience: 5-8 years of legal experience, with a focus on securities and investment management matters, gained at a law firm or in-house at an asset manager.
• Specialized Knowledge: At minimum of 5 years of current and dedicated experience with the Investment Company Act of 1940 is required. Strong command of U.S. securities laws and familiarity with registered fund work and SEC disclosure coordination is essential.
• ETF Experience: Proven experience leading or supporting legal processes for new ETF launches, including drafting, reviewing, and coordinating the SEC review of Form N-1A
• Communication & Judgment: Excellent legal drafting and communication skills. Must be able to distill complex legal issues into concise, business-friendly guidance and exercise strong business judgment.
• Organizational Skills: Proven ability to independently manage complex filings and fund workstreams, ensuring all stakeholders are aligned and projects are delivered on time.
• Adaptability: Must be adaptable and thrive in a fast-paced, evolving environment where responsibilities may shift based on business needs.

Our Offering

Global X offers a competitive salary and benefits package and a hybrid schedule, with three days a week in our New York City office. The salary range for this role is $175,000 - $250,000 , with a discretionary bonus.
