The Role:
The Legal Counsel ensures that the company adheres to all legal requirements, providing expert legal advice, managing risks, and ensuring compliance with corporate governance standards. This role plays a critical part in protecting the organization from legal exposure and maintaining regulatory integrity across operations, particularly in the MENA region.
Responsibilities

Corporate Legal Affairs

Provide legal advice to employees, management, and the board on a wide range of legal issues.

Draft, review, and negotiate contracts, agreements, and legal documents.

Ensure all company transactions comply with applicable laws, regulations, and industry standards.

Monitor legal and regulatory developments and advise management on necessary policy adjustments.

Advise on corporate governance matters, including board meetings, corporate filings, and regulatory compliance.

Prepare regular legal reports and updates for management.

Develop and enforce internal governance policies to ensure ongoing legal compliance.

Risk Management

Identify and mitigate legal risks and liabilities.

Apply proactive legal risk management strategies.

Advise management on potential legal issues before they arise.

Litigation Management

Manage and coordinate legal proceedings, including litigation and dispute resolution across the MENA region.

Evaluate potential legal actions and recommend litigation or alternative dispute resolution.

Engage and assess external legal counsel.

Oversee the legal budget and manage litigation-related costs.

Collaborate with legal retainers to align litigation strategies with company goals.

Assess litigation risks including financial and reputational implications.

Maintain detailed records and timelines of all legal cases.

Keep stakeholders informed of legal crises, including customer arrests.

Ensure legal support is available across all countries of operation to minimize market disruption and maintain customer satisfaction.
Additional Responsibilities

Manage intellectual property (IP) registration and protection, including trademarks, copyrights, and patents.

Oversee product registration in the UAE and other MENA countries.

Obtain required business licenses and activity approvals across regions.
Qualifications

Bachelor's Degree in Law with minimum of 5 years of work and litigation experience.

Licensed lawyer or legal practitioner with credentials recognized in a MENA country.
Required Skills

Strong knowledge of corporate law, procedures, and local legal systems in the Middle East.

Excellent communication and interpersonal skills.

Proficiency in both Arabic and English, including legal translation.

Experience in managing legal teams and external counsel.
