Base Salary:
$178,596- $232,322, this role is eligible for an annual bonus.

Location: Stamford, CT

We are currently seeking a Legal Counsel supporting Marketing, eCommerce, Sustainability, Quality Assurance and Intellectual Property to be located in Stamford, CT and report to the Associate General Counsel - Marketing and Consumer Law. Primo Brands makes available to this role a “hybrid” work model, offering flexibility with respect to in-office time. As the Legal, Regulatory and Government Affairs function is based out of one of the Company’s dual headquarters, in-office time would be in Stamford, CT.

This position will have responsibility for supporting two facets of the Primo Brands business including Marketing and eCommerce, while partnering with colleagues to provide leadership in the areas of Intellectual Property, Sustainability and Quality Assurance. This position is responsible for the delivery of high quality, actionable, and timely legal advice in support of these areas to leaders and functional clients. You will have high visibility throughout the organization, supporting core business activities and providing counsel to cross-functional teams. You will be empowered to develop strong and positive working relationships with colleagues at all levels. Prior in-house experience, ability to work in a fast-paced environment, and willingness to be a flexible, business-oriented team player are required.

Responsibilities:
  • The Legal Counsel – IP, Marketing will serve as a key member of the Legal, Regulatory & Government Affairs team, providing advice on a wide range of tactical and operational issues for Marketing, Sales (including field operations), Innovation, and Sustainability business teams.
  • The Legal Counsel – IP, Marketing responsibilities will cover the following areas, including:
    • Providing proactive and pragmatic legal counsel regarding general corporate and commercial matters relating to IP and advertising/promotions, such as drafting integrated marketing, promotions, and technology agreements, provide guidance on marketing claims and substantiation for labels, omnichannel marketing (including social and digital media, endorsements, user-generated content), sweepstakes, in-store promotions, consumer and customer disputes, competitor challenges and NAD actions, and other day to day marketing and promotional activities.
    • Acting as a business partner and trusted advisor, providing direct legal counsel to Marketing, Sales, Innovation, and Sustainability executives and managers to support timely strategic and commercial business decisions.
    • Addressing and/or managing the IP needs of the business including: drafting, negotiating, interpreting and advising clients on IP related agreements, such as non-disclosure, joint development and license agreements, and IP provisions in commercial agreements, manufacturing agreements, and supply agreements. Overseeing and managing trademark registration and clearance. Evaluating inventions to determine patentability and, support drafting, filing and prosecuting patent applications before the USPTO and foreign counterparts. Advising and counseling clients on various IP matters involving copyrights, patents, trademarks, and trade secrets. Managing outside IP counsel.
    • Further developing internal legal commercial expertise and actively managing outside counsel.
    • Setting a tone of unwavering dedication to the highest standards and possesses the gravitas and reputation to establish effective working relationships with executives, managers and employees at all levels throughout the company.
  • The successful candidate preferably will have experience with a range of corporate and commercial matters, as well as such areas as: acquisitions; litigation; real estate and environmental; and regulatory matters.
  • Regardless of background, this person will have the overall business acumen, pace, and leadership skills to be effective in a fast-moving consumer business.
  • This is a hands-on role, requiring a willingness to roll up one’s sleeves and bring a team-centric and collaborative attitude to their role.
  • Consistently solutions-oriented and outcome-driven, she/he must be flexible to adopt and prioritize their activities to mirror the needs of the organization.
Qualifications:
  • BA/BS Degree or equivalent.
  • JD degree required.
  • 7+ years of related experience with direct commercial, IP and data privacy, and marketing law. experience; in-house generalist experience welcome.
  • CT or NY State Bar Membership in good standing (or equivalent, CT in-house counsel designation)
  • Experience with contracts and disputes, as well as regulators and regulatory compliance issues are helpful.
  • Experience with Risk Assessments.
  • Exceptional understanding of negotiation, compliance, and regulatory laws.
  • Requires exceptional analytical and problem solving skills, and understanding of legal documents.
  • Must be able to work independently and be self-directed.
  • Must also be able to work in team environment to reach goals and objectives.
