Legal Counsel - Projects

We are looking for a “Legal Counsel - Projects ” to be assigned to our ''Legal'' department located in İstanbul HQ.

WHAT DO WE EXPECT?

• LL.M. degree from a leading law school with bar admission,
• 4+ years’ experience as an in-house (experience of the Power Generation industry is an asset) or as a legal counsel in international law offices,
• Experience in one or more of the fields of Energy law, Corporate Law, and/or Banking and Finance Law, commercial contracts and international transactions. Working on a variety of commercial / business legal matters, including previous experience of drafting, negotiating and closing complex business transactions,
• Experience on major project development and project finance,
• In addition to fluency in English, proficiency in written and spoken French is a must,
• Excellent interpersonal and communication skills to be able to build effective relationships with business executives and third parties as well as within the Legal Department,
• Ability to manage multiple priorities in a fast-paced work environment and collaborating with business units to develop deal structures and mitigate associated risks,
• Excellent organizational, presentation and process skills, with the ability to follow through on numerous projects simultaneously under tight deadlines,
• Diplomacy skills, along with persuasive and influential capabilities,
• Strong ability to research and follow up, attention to detail, analysis and reporting skills,
• Dynamic, self motivated, analytical and teamwork oriented,
• No restriction for travelling inside and outside of Turkey.

WHAT AWAITS YOU?

• Prepare, review and execute contracts (including but not limited to energy sales contracts, purchase contracts, partnership agreements, non-disclosure agreements etc.), and tender documents of projects to ensure company interests are protected,
• Partner with Business Development & Sales, Project, and Operations teams through contractual processes,
• Provide legal support for all aspects of the company's business, including general corporate matters, project development, finance and operations,
• Risk assessment regarding current and potential projects and reporting to the management.
• Conduct due diligence in projects,
• Resolve legal problems that will occur during projects,
• Conduct company formation processes and daily corporate operations,
• Provide practical commercially-minded legal consulting to the various operational functions on all sort of legal issues,
• Conduct legal research and draft reports, opinions, correspondence and other documents,
• Follow up the new legislations, regulations related to company’s major activities and report to the management,
• Represent company's interests and interface directly with internal and external stakeholders and counterparts.
