Role Overview

We are looking for a strategic, deal-oriented attorney to serve as the primary legal partner for our Go-To-Market and Solutions Delivery team. You won't just be "redlining" contracts; you will be the legal architect behind how we bundle professional services with solutions delivery. You will bridge the gap between our Sales team's goals and our Delivery team's operational realities.

Key Responsibilities

  • Deal Structuring: Draft and negotiate complex agreements including Master Service Agreements (MSAs), and heavily customized Statements of Work (SOWs).

  • Solutions Partnership: Work alongside Solutions Architects to ensure that project milestones, acceptance criteria, and "Out of Scope" definitions are legally enforceable and commercially sound.

  • Intellectual Property: Manage the nuance of IP ownership, ensuring our core technology is protected while granting clients appropriate rights to project-specific deliverables.

  • Risk Mitigation: Identify potential "scope creep" or delivery risks in the contract phase and advise the leadership team on liability and indemnity trade-offs.

  • Process Improvement: Build and maintain a "Go-To-Market and Solutions Contract Playbook" to help the sales team move faster with pre-approved fallback positions.

Required Qualifications

  • J.D. Degree and active bar membership in good standing.

  • 2–4 years of experience in technology transactions, ideally split between a reputable law firm and an in-house tech environment.

  • Strong grasp of the "Services + Solutions" model: You must understand how professional services (implementation) differ from software licensing.

  • Negotiation Skills: Ability to sit across from "Big 4" or Enterprise procurement teams and hold your ground while remaining a "deal-maker."

  • A "business-first" mindset: You prioritize clarity and speed over "legalese."

Nice-To-Haves

  • An IP or software background, or a deep understanding of technology transactions.

  • Experience with Revenue Recognition (ASC 606) principles.

  • Familiarity with Data Privacy (GDPR/CCPA) as it relates to third-party implementation.
