Orios Venture Partners is an Indian Early-Stage Venture Capital firm , currently investing from our fourth fund with a focus on tech investments across consumer, B2B, software, and hardware for the Indian market.

Our strategy is to invest in a select number of companies and work closely with them . Each investment lead typically works with no more than 4–6 companies at a time.

The Role – Executive (Legal Compliance)

Location: Mumbai

Experience: 1–3 years

We’re looking for a proactive and detail-oriented professional to join our team in Mumbai.

Key Responsibilities:

• Assist in drafting fund offering documents (TD, PPM, IMA, CA).
• Track regulatory changes (SEBI AIF, RBI/FEMA) and update fund documentation accordingly.
• Liaise with regulators and legal consultants for compliance, reporting, and filings (Companies Act, LLP Act, Trust Act).
• Support compliance for investor communications.
• Draft, vet, and negotiate investment-related agreements (TS, SSHA, SSA, SPA).
• Support legal and compliance due diligence for portfolio companies.
• Collaborate with stakeholders on structuring and documentation of transactions.
• Draft and vet agreements with distributors, referral agents, and service providers.
• Manage litigation matters with external counsel.
• Support partner/board/committee/shareholder meetings with necessary documentation.

Qualifications

• LLB + CS (Company Secretary preferred) from top academic institutions.

Experience & Skills

• 1–3 years’ experience (VCF experience preferred).
• Strong knowledge of SEBI AIF, RBI/FEMA, Corporate & Securities Laws, Contract Act, Arbitration, Stamp Duty, IP, Data Protection .
• Ability to anticipate legal risks, handle multiple projects, and adapt to change.
• High initiative, self-motivated, with excellent communication & interpersonal skills.
