Job Description
The candidate(s) must have knowledge of the (Indian) Companies Act, 2013, SEBI Regulations, FEMA Regulations, basic employment and labour laws, intellectual property laws, antitrust regulations, Data Privacy Laws including GDPR, etc. relating to M&A transactions.
The candidate(s) must have experience of:
- Conducting legal due diligence for M&A transactions.
- Deal structuring for domestic/international cross border transactions
- Drafting, reviewing and negotiating all forms of transaction documents including Shareholder’s Agreements, Share Subscription Agreements, Non-Disclosure Agreements, Engagement Letters, Letters of Intent, Binding/Non-Binding Offers, Asset Purchase Agreements, Business Transfer Agreements, Intellectual Property Agreements, etc.
- Ensuring regulatory compliance (antitrust, securities) including FEMA compliances
- Managing deal logistics, and advising on risks, tax implications, and post-closing issues to ensure a smooth, legally sound M&A transaction.
The candidate must additionally have:
- Lawyer with 10 to 15 years of work experience with at least 5 years in corporate legal department/ law firm with focus on mergers, acquisitions (both domestic and international), demergers, divestments and corporate restructuring transactions.
- Excellent communication, analytical and collaboration skills.
