Oxinus Holdings is a dynamic and diversified investment and business group operating across multiple sectors including technology and digital payments. As we continue to grow and expand globally, we are seeking a Legal Officer with a strong background in the IT and technology sector to lead and manage our legal functions across jurisdictions.

Role Overview

The Legal Officer will be responsible for overseeing all legal matters across Oxinus Holdings and its group companies. This includes providing legal advice to management, ensuring corporate governance and compliance, drafting and negotiating commercial agreements, managing intellectual property, and overseeing legal risks particularly relevant to technology businesses. The ideal candidate should have a proven track record of handling legal affairs within the IT industry and be comfortable working in a fast-paced, innovation-driven environment.

Key Responsibilities

Legal Advisory & Strategy

• Provide legal counsel to senior management and cross-functional teams on matters relating to corporate, commercial, employment, intellectual property, technology, and regulatory laws.
• Develop and implement legal strategies that support the group’s objectives while ensuring full legal and regulatory compliance.

Corporate Governance

• Ensure that all group companies remain compliant with corporate governance standards, laws, and regulations in all operating jurisdictions.
• Oversee the preparation and maintenance of corporate documentation, including board resolutions, shareholder agreements, and meeting minutes.
• Advise on group structuring, mergers, acquisitions, and joint ventures when applicable.

Contract Management

• Draft, review, and negotiate a wide array of commercial and technology-related contracts, including:
• Master Service Agreements (MSAs)
• SaaS agreements
• Software licensing agreements
• Vendor and supplier contracts
• NDAs and MoUs
• Establish and manage a centralized contract management system.

Regulatory Compliance & Risk Management

• Monitor and interpret legal developments, particularly in areas such as data protection (e.g., GDPR), cybersecurity regulations, and cross-border data transfers.
• Conduct legal risk assessments and develop mitigation plans.

Intellectual Property Management

• Advise on IP strategy for the group’s IT products and services.
• Manage registration, protection, and enforcement of trademarks, copyrights, patents, and trade secrets.

Dispute Resolution & Litigation

• Manage pre-litigation and litigation matters in coordination with external counsel.
• Represent the company in disputes, mediations, or negotiations as needed.

Stakeholder & External Counsel Management

• Liaise with regulators, law firms, government bodies, and industry associations.
• Coordinate with external legal counsel for jurisdiction-specific or complex matters.

Candidate Profile

Qualifications

• Bachelor’s degree in Law (LLB) is required; Master’s degree or specialization in Corporate or Technology Law is a plus.
• Admission to the Bar or equivalent professional legal qualification.

Experience

• 4+ years of post-qualification experience , with at least 3 years in a legal role within the IT/technology sector , ideally with multinational companies or large-scale tech startups.
• Strong understanding of software licensing, digital services contracts, IT outsourcing, data privacy laws, and tech-specific compliance issues.
• Experience with cross-border legal matters and international commercial transactions.
