Manager - Corporate & Contracts (Legal)

Job Purpose

The role will support in achieving the Legal department's objectives by providing legal guidance and advice on corporate matters, contracts, and projects. The role will identify legal risks in business and contracts, recommend solutions, and ensure the company’s interests are protected. Focused on supporting DTC’s transformation and growth, the role will offer commercially based, solution-driven legal advice and assistance to various functions within the company, with particular attention to local and international regulations always ensuring protection of the company’s interest.


Key Accountabilities

  • Acts as lead legal advisor for different contracts and projects and for providing legal advice to the business.
  • Represents the Legal Department at cross-company projects and assignments.
  • Assists in developing a contract management process and risk identification and mitigation process.
  • Assists in developing and maintaining framework and standards to ensure effective legal support on contractual compliance and governance.
  • Manages relationships with external counsel on complex contracts, assists in conducting due diligence and contract drafting in M&A projects and manages external legal budget.
  • Ensures quality management of contract templates for projects including (NDAs, MOUs, JVs, M&A, employment, services and operational contracts and other agreements).
  • Reviews policies and procedures in line with local regulations.
  • Provides training for UAE Nationals within the Legal Department to develop their legal skills and career growth.
  • In liaison with the Legal Counsel, represents the Legal Department, as required, in strategic negotiations to ensure optimum legal structure and to negotiate and finalize agreements while ensuring DTC is contractually protected in its arrangements.
  • Collaborates with the members of the Legal Department; and cross-functional teams to ensure effective legal support throughout the company
  • Ensure continuous monitoring of industry trends, changes in local and international regulations, and legal best practices to advise the business on compliance and risk mitigation.


Job Requirements

Experience :

  • Minimum 6–7 years of experience as a qualified lawyer, including experience in PQE.
  • Experience in M&As and commercial contracts is essential.
  • Preferable mix of professional experience as in-house counsel of strong legal experience in a broad spectrum of areas including (capital markets, corporate law, M&A, commercial) and legal counsel in a top tier law firm with international clients or other relevant private or public practice.
  • Excellent communication and drafting skills in Arabic and English


Academic Qualification:

  • Bachelor’s degree in law.
  • Masters will be an added advantage
