JOB PURPOSE
Manage the Legal function of EDB proactively to prevent the bank from being exposed to risks and financial
losses due to non-compliance with applicable laws, regulations, codes of conduct, and standards of good
practice relevant to EDB’s activities. Assist the Head of Legal and Board Secretary in providing legal
consultation and advice to company management.
KEY ROLES & RESPONSIBILITIES
Functional Role:
A. Strategic and Budgetary Management:
• Assist the Head of Legal & Board Secretary in developing the department’s strategic and
operational budgets; monitor expenditures against the budget to ensure minimum variances.
• Assist the Head of Legal & Board Secretary in developing the department’s policies and
procedures to ensure they promote leading practices and comply with laws and regulations.
B. Operational Management:
• Plan, organize, direct, and monitor the implementation of the approved legal yearly plans,
including associated reviews and consulting services.
• Draft and develop EDB’s standard contract templates from a legal perspective to ensure that the
Bank’s interests are well protected.
C. Legal Consultation and Advice:
• Coordinate with legal consultants or liaising agencies for legal cases and dispute resolutions.
• Provide legal advice and assistance to the Chief Executive Officer, Executive Management on legal
compliance issues concerning business matters and any other required legal assistance.
• Support the Head of Legal and Board Secretary in overseeing legal processes, including court
actions where necessary.
D. Regulatory Compliance and Reporting:
• Prepare monthly and quarterly reports for the department and executive management as part of
regulatory compliance.
• Continuously monitor compliance with legal obligations and advise management accordingly.
E. Risk Management:
• Oversee the legal affairs of EDB to ensure that the bank is protected from various legal risks,
including contractual and litigation risks, arising from EDB’s business ventures.
• Assess and approve the affiliation of external lawyers, notaries, court clerks, or other legal
associates.
• Coordinate with management for consultation and strategic direction concerning contractual,
legal, and regulatory obligations.
F. Contract Review and Management:
• Ensure required information/documents are provided to external lawyers to defend court cases.
• Review written correspondence and contracts between EDB and relevant parties to avoid
potential legal implications and ensure compliance with legal requirements.
• Review and draft contracts, legal agreements, documents, and forms for transactions to ensure
they are compliant with relevant laws and regulations.
QUALIFICATIONS & EXPERIENCE
Required Qualifications:
• Minimum: Bachelor’s Degree in Relevant Field
• Preferred: Field-related certifications or licenses
Required Experience:
• Minimum: 7 years of work experience
