Manager-Legal Counsel

ABIN Bev, a global leader in the beverage industry, is seeking a highly skilled and experienced Legal Counsel to join our dynamic legal team. As Legal Counsel, you will play a pivotal role in providing strategic legal advice and support to our business operations. This is an exciting opportunity for a talented legal professional to contribute to the success and growth of one of the world's leading companies.

Responsibilities:

Corporate Secretarial:

  • Lead corporate governance, advising Board and senior leadership on statutory/ governance, and regulatory matters, filings, evaluations, conduct of board meetings/ AGM/ NRC etc., compliances, including emerging and updated requirements.
  • Oversee/ supervise full statutory and regulatory compliance under Companies Act, Secretarial Standards, FEMA/RBI, and listed‑entity-equivalent governance expectations.
  • Serve as a key liaison for regulators, auditors, investors, and critical governance stakeholders reg CS and corporate governance compliances
  • Legal Advisory: Provide expert legal counsel and guidance to internal stakeholders on a wide range of legal matters, including commercial contracts, regulatory compliance, intellectual property, corporate governance, and dispute resolution.
  • Regulatory Compliance: Monitor the adherence of regulatory compliance within the business, training relevant stakeholders along with scrutinising documentation and provide mitigation based solutions to avoid any disruptions to the business.
  • Contract Negotiation: Draft, review, and negotiate complex commercial agreements, including supplier contracts, distribution agreements, licensing agreements, and partnership agreements, ensuring alignment with business objectives and legal requirements.
  • Risk Management: Identify legal risks and proactively develop strategies to mitigate potential liabilities, advising on legal implications of business decisions and recommending appropriate courses of action.
  • Corporate Governance: Provide guidance on corporate governance matters, including board matters, corporate policies, and compliance with corporate laws and regulations.
  • M&A and Transactions: Support corporate transactions, mergers and acquisitions, and strategic initiatives by conducting legal due diligence, drafting transaction documents, and providing legal advice throughout the deal lifecycle.
  • Dispute Resolution: Manage and oversee legal disputes, litigation, and arbitration proceedings, working closely with external counsel and internal stakeholders to achieve favourable outcomes and minimize legal exposure.
  • Legal Training and Development: Develop and deliver legal training programs and workshops to enhance legal awareness and capabilities within the organization, fostering a culture of compliance and ethics.
  • Stakeholder Collaboration: Collaborate cross-functionally with internal departments, including sales, marketing, finance, and operations, to provide integrated legal solutions and support business objectives.
  • Continuous Improvement: Stay informed about emerging legal trends and best practices, actively participating in professional development activities and contributing to the enhancement of legal processes and procedures within the organization.

Qualifications:

  • A qualified CS professional. Listed entity experience would be a bonus.
  • Strong hands‑on experience in Board management, statutory compliance, entity oversight, and corporate governance.
  • A minimum of 4 years of experience practicing law, with a focus on corporate/commercial law, preferably within the beverage industry or related sectors.
  • Strong proficiency in regulatory compliance, contract law, commercial transactions, and corporate governance principles.
  • Demonstrated capability to independently manage intricate legal matters, exhibiting outstanding analytical, problem-solving, and decision-making competencies.
  • Preference for candidates with experience in the Fast-Moving Consumer Goods (FMCG)/Manufacturing Sector.
