 on the L&amp;CA team (Legal and Corporate Affairs) based in Bangalore. As
 
 Compliance Senior Manager
 
 , you will report directly to Compliance Associate Director for AB InBev India.
 
 
 As the AB InBev India Compliance SeniorManager, you will be responsible to:
 
 <ul>
 <li>
 Act with integritythrough all wordsand actions
 </li>
 <li>
 Stay up to date on changes to relevant laws and regulations in India and ensure that the company remains in compliance e.g. anti-corruption laws, anti-trust laws, data privacy laws, etc.
 </li>
 <li>
 Implement data protection and privacy programs
 </li>
 <li>
 Implement antitrust and competition programs
 </li>
 <li>
 Investigate broad and diverse allegations
 </li>
 <li>
 Perform third party compliance reviews
 </li>
 <li>
 Utilize data analysistools and providedata driven insightsto support work
 </li>
 <li>
 Develop and refreshpolicies and training
 </li>
 <li>
 Work cross functionally with functions outsideof the L&amp;CA team
 </li>
 <li>
 Take on specialprojects as needed
 </li>
 </ul>
 
 The idealCompliance Senior Manager will have：
 
 <ul>
 <li>
 Bachelor's degree in law, business, or a relatedfield
 </li>
 <li>
 Minimum of 3 years of experience in a compliance or ethics role
 </li>
 <li>
 Excellent communication and interpersonal skills,with the abilityto effectively communicate complex legal and regulatory issues to non-legal stakeholders
 </li>
 <li>
 Strong analytical and problem-solving skills,with the abilityto identify and mitigate potential risks
 </li>
 <li>
 Ability to work independently and collaboratively in a fast-paced environment
 </li>
 <li>
 Fluency in Englishand Hindi is required; knowledgeof additional languagesis a plus
 </li>
 <li>
 Professionalcertification in compliance, ethics, or a related field is a plus
 </li>
 <li>
 Must have a strong commitment to ethics and integrity
 </li>
 </ul>
 
 
 
 
 
 Further skills that would be helpful:
 
 
 <ul>
 <li>
 Qualified lawyer with experience in Compliance / Investigations at a Law Firm or at a multinational company would be a plus
 </li>
 <li>
 In-depth knowledge of laws and regulations governing the alcohol industryin India
 </li>
 <li>
 Experience at a company with major, consumer-facing brands is helpful
 </li>
 <li>
 Experience in beverage/brewing or another highly regulated industrywould be a plus
 </li>

Senior Manager Compliance &Ethics

 Responsibilities:
 
 
 
 
 Corporate Secretarial:
 
 
 <ul>
 <li>
 Lead corporate governance, advising Board and senior leadership on statutory/ governance, and regulatory matters, filings, evaluations, conduct of board meetings/ AGM/ NRC etc., compliances, including emerging and updated requirements.
 </li>
 <li>
 Oversee/ supervise full statutory and regulatory compliance under Companies Act, Secretarial Standards, FEMA/RBI, and listed‑entity-equivalent governance expectations.
 </li>
 <li>
 Serve as a key liaison for regulators, auditors, investors, and critical governance stakeholders reg CS and corporate governance compliances
 </li>
 <li>
 
 Legal Advisory:
 
 Provide expert legal counsel and guidance to internal stakeholders on a wide range of legal matters, including commercial contracts, regulatory compliance, intellectual property, corporate governance, and dispute resolution.
 </li>
 <li>
 
 Regulatory Compliance:
 
 Monitor the adherence of regulatory compliance within the business, training relevant stakeholders along with scrutinising documentation and provide mitigation based solutions to avoid any disruptions to the business.
 </li>
 <li>
 
 Contract Negotiation:
 
 Draft, review, and negotiate complex commercial agreements, including supplier contracts, distribution agreements, licensing agreements, and partnership agreements, ensuring alignment with business objectives and legal requirements.
 </li>
 <li>
 
 Risk Management:
 
 Identify legal risks and proactively develop strategies to mitigate potential liabilities, advising on legal implications of business decisions and recommending appropriate courses of action.
 </li>
 <li>
 
 Corporate Governance:
 
 Provide guidance on corporate governance matters, including board matters, corporate policies, and compliance with corporate laws and regulations.
 </li>
 <li>
 
 M&amp;A and Transactions:
 
 Support corporate transactions, mergers and acquisitions, and strategic initiatives by conducting legal due diligence, drafting transaction documents, and providing legal advice throughout the deal lifecycle.
 </li>
 <li>
 
 Dispute Resolution:
 
 Manage and oversee legal disputes, litigation, and arbitration proceedings, working closely with external counsel and internal stakeholders to achieve favourable outcomes and minimize legal exposure.
 </li>
 <li>
 
 Legal Training and Development:
 
 Develop and deliver legal training programs and workshops to enhance legal awareness and capabilities within the organization, fostering a culture of compliance and ethics.
 </li>
 <li>
 
 Stakeholder Collaboration:
 
 Collaborate cross-functionally with internal departments, including sales, marketing, finance, and operations, to provide integrated legal solutions and support business objectives.
 </li>
 <li>
 
 Continuous Improvement:
 
 Stay informed about emerging legal trends and best practices, actively participating in professional development activities and contributing to the enhancement of legal processes and procedures within the organization.

 </ul>
 
 
 Qualifications:
 
 
 <ul>
 <li>
 A qualified CS professional. Listed entity experience would be a bonus.
 </li>
 <li>
 Strong hands‑on experience in Board management, statutory compliance, entity oversight, and corporate governance.
 </li>
 <li>
 A minimum of 4 years of experience practicing law, with a focus on corporate/commercial law, preferably within the beverage industry or related sectors.
 </li>
 <li>
 Strong proficiency in regulatory compliance, contract law, commercial transactions, and corporate governance principles.
 </li>
 <li>
 Demonstrated capability to independently manage intricate legal matters, exhibiting outstanding analytical, problem-solving, and decision-making competencies.
 </li>
 <li>
 Preference for candidates with experience in the Fast-Moving Consumer Goods (FMCG)/Manufacturing Sector.
 </li>
