Role Summary:

Reporting to the Senior Director - Government and Legal Affairs, the Manager Registrar will oversee the comprehensive review and approval process for company formation, amendments to registrations, and company attestation requests. Responsible for the implementation of DMCC Company Regulations & Free Zone Rules and relevant UAE Federal Resolutions and Decrees into the DMCC Free Zone framework. Guide and support the training and development of internal teams, such as Business Set Up, Compliance, Registration & Licensing, Customer Care, and Service Centre, to enhance their efficiency in processing applications. Contribute to DMCC’s key strategic objectives, lead discussions for Process Enhancements and Re-engineering related to Company Regulations, maintain an up-to-date and accurate DMCC Register of Entities.


Key Responsibilities:

  • Oversee the process of registering new companies and amending existing registrations in compliance with national regulations.
  • Ensure appropriate review and approval company formation documents, including articles of association, board resolutions, and shareholder agreements.
  • Provide guidance on complex or unusual company applications, ensuring regulatory compliance and proper legal documentation.
  • Ensure that all registered companies comply with applicable corporate laws, rules, and guidelines.
  • Lead regular audits of company records to ensure accuracy, transparency, and up-to-date reporting.
  • Implement and oversee mechanisms for monitoring corporate governance practices and reporting obligations.
  • Supervise the issuance of certificates, such as incorporation certificates, good-standing certificates, and share certificates.
  • Ensure that all certificates and legal documents are accurate, legally binding, and adhere to regulatory requirements. Maintain custody of official company documents, ensuring security and compliance with data protection laws.
  • Ensure maintenance of an up-to-date and accurate public register of companies, including information on directors, shareholders, beneficial owners (UBOs), and registered addresses.
  • Ensure public access to the company register, where applicable, and respond to requests for company information in a timely manner.
  • Ensure publication of official notifications such as company name changes, terminations, or liquidations.
  • Provide expert legal and regulatory advice to companies regarding corporate governance, registration procedures, and compliance matters.
  • Offer guidance to companies seeking clarification on complex legal or regulatory issues related to company incorporation and compliance.
  • Implement changes in corporate law or regulations by updating procedures, forms, and policies.
  • Collaborate with legal and governmental authorities to ensure alignment with new or revised regulations affecting company operations.
  • Lead efforts to reform and improve registration and compliance processes, ensuring efficiency and alignment with best practices.
  • Drive continuous improvements in the company registration and governance processes, reducing bottlenecks and increasing operational efficiency.
  • Ensure that all processes are in full compliance with local, federal, and international regulations governing corporate affairs.
  • Coordinate with internal departments such as legal, compliance, and business licensing to ensure cohesive operations.
  • Liaise with external stakeholders, including regulatory authorities, legal consultants, and corporate governance bodies.
  • Provide regular reports and updates to senior management on company registration status, compliance matters, and governance issues. Approve or reject applications for company registration and amendments.
  • Decide on the issuance of governing certificates and legal documents. Oversee internal processes related to corporate governance and registration workflows.
  • Authorize legal and procedural changes in accordance with updated regulations and company law. Foster a culture of continuous learning and professional growth, resulting in a highly skilled and motivated team capable of effectively navigating regulatory challenges and delivering exceptional service to stakeholders.
  • Monitor and evaluate team performance regularly to identify areas for improvement and implement strategies that align with organizational goals.
  • Contribute and deliver tangible results that support the Authority’s strategic vision, ensuring that departmental initiatives are aligned, contribute meaningfully to organizational priorities. Participate in overall success engaging with internal and external stakeholders in strategic execution of related initiatives.


Qualifications:

  • Bachelor’s or Master’s Degree in Law, Business Administration, or a related field.
  • This degree should demonstrate a strong foundation in legal principles, corporate governance, and regulatory compliance relevant to the industry.
  • Additional certifications in corporate law, compliance, or regulatory affairs would be advantageous.
  • With 7-10 years’ experience in registration and licensing with a strong understanding of local rules and regulations. Must have at least 3 years in a managerial position, as a Registrar.
  • Knowledge of different licensing and registration statutory regulations and applications procedures.
  • Managing key relationships with the regulatory authorities, a good understating about Company legal types and their peculiarities, in depth knowledge about UAE and FZ legal systems.
