Minimum Qualifications

  • HS diploma or GED required; Bachelor's degree in Business, Economics, Statistics or relevant field preferred
  • 3 years of relevant experience
  • Must possess analytical skills
  • Must be able to comprehend, manipulate and interpret statistical data
  • Demonstrated ability to communicate verbally and in writing throughout all levels of organization, both internally and externally
  • Proficient use of applicable technology

Essential Functions and Primary Duties

  • Manage the preparation and distribution of board of directors and board committee materials
  • Support Chief Legal Officer with respect to prospective and in-progress legal department budgeting
  • Work with legal billing software to review billings; support accounting function in periodic accruals of legal expenses in the company’s financial statements and related internal controls
  • Coordinate Legal, Risk, and Compliance (“LRC”) matter intake, triage workload, manage projects and coordinate internal and external LRC resources
  • Oversee claims processing and distributing documents to the appropriate attorneys and business contacts
  • Provide legal support for corporate transactions
  • Create and maintain file management system for legal department
  • Prepare routine legal documents with attorney oversight
  • Manage or support additional corporate matters as assigned, including (i) drafting minutes/resolutions of corporate and subsidiary boards; (ii) creating and maintaining corporate records, including minute books; and (iii) preparing, processing and maintaining legal entity filings, including annual filings
  • Professionally handle legal and other matters involving confidential, proprietary and legally privileged documents and information
  • Partner with legal department, business units, division or corporate as requested


Preferred Qualifications:

  • Associate’s Degree
  • Paralegal certification
  • 7+ years of experience as a paralegal, legal operations professional, legal assistant with substantive legal or legal operations background, or similar role
  • Experience with SEC filings and public company governance
  • Relevant experience as a paralegal in a private law firm or corporate legal department (preferably both)
  • Strong knowledge of corporate governance principles
  • Experience with departmental budgeting
  • Experience with Legal Tracker or similar software
  • Ability to maintain confidentiality regarding sensitive information
  • Knowledge of fundamental legal principles relevant to general corporate law
  • Knowledge of legal publications and ability to remain current in profession
  • Excellent research, organization, and project-management skills
  • Experience with legal technology platforms, workflow management, and process improvement initiatives
  • Possess problem-solving ability through detailed analysis of various rules, regulations, laws etc.
  • Ability to manage deadlines, work on multiple assignments and prioritize each assignment as necessary
