Summary:
UNC Clinical Research Partners (UNC CRP) is a newly established joint venture between UNC Health and the University of North Carolina (UNC) at Chapel Hill designed to accelerate and grow industry-sponsored clinical research at UNC Chapel Hill and UNC Health.
The Contracts Paralegal will collaborate with CRP’s Contracts Counsel and Contracts Officer to administratively manage, support, and track the review and negotiation of legal agreements between CRP and non-federal sponsors of clinical research at UNC and UNC Health.
Responsibilities:
CRP Contract Review and Negotiation: Assist attorneys with the review and negotiation of confidential disclosure agreements, clinical trial agreements, and other related legal agreements between CRP and non-federal research sponsors. Assist attorneys with the review and negotiation of CRP vendor agreements. Coordinate and support the routing, execution, storage, access and/or tracking of all legal documents and agreements between CRP and third parties, including sponsors, vendors, and others. Assist attorneys in creation, use, and updating of template and form documents. Serve as administrator for CRP’s contract database, including responding to inquiries related to access, submission, use, and tracking and training other users. Triage, manage, and resolve issues arising in the contract negotiation process in close partnership with UNC CRP, UNC Chapel Hill, and UNC Health leadership, often with specific time constraints. Contribute to the development and refinement of CRP’s contract negotiation playbook, master agreement templates, and other related legal forms.
CRP Policy and Process Development: Collaborate with attorneys to develop and implement policies, processes, procedures, and workflows to achieve efficient, smooth, and consistent negotiation, execution, and administration of clinical trial agreements. Continuously evaluate, assess, and refine contracting processes to improve start-up times for industry-sponsored trials. Contribute to and track start-up metrics and other KPIs for CRP’s contracting function. Support the evaluation and use of new technologies for CRP processes, attend technology training sessions, prepare trainings for others, and demonstrate skill in using technology.
Attorney Administrative Support Organize and maintain corporate files, such as organizational documents, minutes, and resolutions. Under attorney direction, draft correspondence, filings, and legal instruments. Perform research and assist with projects assigned by attorneys. Perform general administrative duties, such as filing, organizing, and routing contracts for execution. Assist attorneys with file maintenance, document management, calendaring, invoice and check processing, and routine communications with internal clients.
