Principal Associates -Secretarial Compliance

Job Summary
To support the fast-growing presence of a dairy technology company across India, we are looking
for a talented professional to join us and make a stronger and more positive impact on the dairy
industry.
Job Description
 You will be in charge of managing the corporate secretarial, FSSAI compliance and ESG
reporting of the Stellapps Group, mostly in Companies Act, ESG, FSSAI and legal
metrology laws.
 You will lead the closure of internal audits, statutory audits and due diligence for the legal
department.
 You will also need to ensure that various trackers are in place for ensuring and monitoring
corporate level compliances.
 You will ensure that the Group remains compliant with all applicable laws and that the
compliance platform is always up to date reflecting the near real status of compliances.
 A Companies Act and FDI expert.
Duties and Responsibilities
 Corporate matters such as preparing agendas and papers for board meetings, committees,
and annual general meetings AGMs EGMs, convene and service AGMs, take minutes,
draft resolutions, and lodge required forms and annual returns with appropriate
departments, completing annual compliances, maintain statutory books, including registers
of members, directors, paying dividends to shareholders and manage share option
schemes.
 Internal compliances as per Indian Company Laws, FEMA Laws and FSSAI Laws
 Liaise with external regulators within your scope of work and advisers such as PCS,
consultants and auditors.
 Develop and oversee the systems that ensure the company complies with all applicable
codes, in addition to its legal and statutory requirements.
 Assist the team with valuable compliance inputs related mergers, acquisitions, slump sales
and amalgamations including post integration.
Must Have's:
 Work experience: minimum 4-5 years as a company secretary in any firm or company, with
a large background of handling secretarial and corporate matters. You are experienced on
contract processing and deployment and control of Group processes.
 Good academics during higher secondary education.
 Fluent English is essential (written and spoken), with legal practice. English is the main
language used within the Group.
Qualifications:
 A qualified company secretary (CS) with training in a reputed PCS firm
 LLB is an added advantage but not a must have.
