The Project Assistant/Case Assistant is an entry level position in either our Business Law Departments working with attorneys in all phases of transactional matters under the supervision of a Sr Paralegal Staff member.
The Project Assistant/Case Assistant is a two-year rotational role that allows for a solid foundation for those interested in attending a Legal post graduate program or other related legal path. During this time, you will be highly trained with the oversight of Sr Paralegal Staff members to introduce you to the basics of working in a Top 50 Global Law Firm Business Law Practice.
What You Will Do:
Prepare, assemble, and circulate signature packets for corporate transactions and governance matters.
File and manage business entity name reservations.
Draft and file Certificates and Articles of Incorporation and related formation documents.
Prepare initial Board and Stockholder written consents.
Obtain Employer Identification Numbers (EINs) from the IRS.
Draft and coordinate execution of indemnification agreements.
Prepare Founder Restricted Stock Purchase Agreements (RSPAs).
Assist with preparation and implementation of stock option plans.
Prepare and manage stock option grant documentation.
Order and track Certificates of Good Standing.
Compile and organize closing documentation, including preparation of closing sets and binders.
Create, organize, and maintain virtual data rooms for transactions.
Who You Are:
Bachelor’s degree required and be a highly accomplished students.
Strong interpersonal, written, and verbal communication skills
Proficiency with basic computer applications (i.e., MS Office Suite including, Outlook, Excel, Word), and a willingness to learn necessary software that will be required to complete position responsibilities.
Exceptional organization skills
Strong research skills and experience using various research tools. Training will be provided on Goodwin’s preferred research application.
Strong analytical skills that will enable troubleshooting and problem-solving as issues arise
Must be able to appropriately prioritize projects and tasks and be willing to seek guidance as necessary from supervisor. This position will require the ability to handle multiple projects and shifting priorities.
Possess the ability to work effectively both collaboratively with other team members and independently
Ability to handle sensitive manners and maintain strict confidentiality in alignment with firm policy.
