Job Summary:
We are seeking a qualified and experienced Company Secretary to join our team at M N H & Co., Chartered Accountants. The Company Secretary will be responsible for ensuring clients' compliance with statutory and regulatory requirements and providing expert advice on corporate governance matters. The ideal candidate will possess a deep understanding of Company Law, SEBI regulations, RBI compliances, and corporate governance. Additionally, they should have excellent organizational skills and the ability to communicate effectively with stakeholders at all levels.
Job Role & Responsibilities:
· Ensure compliance with all legal and regulatory requirements for both listed and unlisted companies, including the Companies Act, SEBI Regulations, RBI Regulations, and other applicable laws and regulations.
· Manage the incorporation of companies, including foreign subsidiaries.
· Handle compliances relating to changes in registered office addresses across states and company name changes.
· Oversee compliances relating to right issues, private placements, and the issuance of securities, including debt securities.
· Manage the dematerialization of shares, including the preparation and filing of ISIN application documents with NSDL/CDSL.
· Ensure timely periodical and event-based filings with the Registrar of Companies, SEBI, and RBI.
· Capital Market and Corporate Governance.
· Handle capital market operations and ensure compliance with Corporate Social Responsibility (CSR) requirements.
Qualifications:
· Recent qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
· Bachelor’s degree in Law, Commerce, or a related field (preferred).
· Minimum of 1-2 years of experience in a similar role, preferably within a CA /CS firm or a corporate environment.
Skills and Competencies:
· In-depth knowledge of the Companies Act, SEBI Regulations, RBI Compliances, and Corporate Governance.
· Handle dematerialization of shares.
· Draft resolutions, contracts, and agreements as required.
· Proficiency in filing forms on MCA and RBI FIRMS Portal, and using Microsoft Office Suite, XBRL software, and relevant compliance tools.
· Excellent client relationship management skills with the ability to work collaboratively within a team and maintain a solution-oriented approach.
· Conduct training sessions for staff on corporate governance and compliance matters.
· Stay updated on changes in legislation and regulations affecting the Client's business.
Job Types: Full-time, Permanent, Fresher
Pay: ₹60,000.00 - ₹70,000.00 per month
