Responsibility:

<ul><li>Responsible for conducting legal and factual research and ensuring proper electronic and hard copy document management.</li><li>Coordinating management of legal document review processes with external parties and internal version control for document negotiation.</li><li>Proofreading and editing draft legal agreements, including management of inter-department inputs into agreement terms and appendices.</li><li>Responsible for drafting cover letters for submission to third party legal counsel and consultants.</li><li>Engaging with administrative staff and junior attorneys internally and at third parties to provide required information on and explanation of ENEC and ENEC subsidiary corporate information, policies and procedures to facilitate due diligence and process requirements.</li><li>Assisting in setting up project plans and monitoring and updating plans for the purpose of due diligence tasks, including reviewing materials and documents.</li><li>Accountable for setting up and managing legal checklists for major projects including negotiation of complex project agreements involving multiple parties.</li><li>Carrying out legal searches and obtaining laws using databases such as Westlaw, collating regulatory filings, submissions and reviewing results of searches to ensure that the legal database and research is up to date.</li><li>Attending meetings and preparing minutes of meeting/actions and following up on all relevant points of discussion.</li><li>Supporting legal counsel in collating comments received from external counterparties, assisting in carrying out amendments through into documents, and proof reading for quality assurance purposes.</li><li>Providing legal support at signings/closings and carrying out post-completion tasks and updating transaction briefing documents by summarizing transitions for effective follow up of legal procedures</li><li>Responsible for coordinating with seconded consultants who support the project, by managing meetings, as well as preparing and drafting internal and external correspondence to support the smooth running of the department
</li><li>Assisting in the preparation of legal contracts, deeds, leases, opinions and other legal papers of a routine nature for dealing with external legal agencies</li></ul><br>
Claims Management<br>

<ul><li>Carrying out searches and collation of documents for claims management, and tagging of documents for relevance, issues and legal privilege</li><li>Assisting legal Counsel in preparing case files and memoranda for briefing external legal consultants</li><li>Management of litigation support databases and Claims E-Room system.</li><li>Assisting legal counsel with management of external lawyers, claims consultants and experts</li></ul><br>
Corporate Governance<br>

<ul><li>Acting as a key focal point for coordinating assigned committees meetings and supporting the secretary and members of those committees in preparing the agenda, meeting materials and minutes of meeting, including following up on actions items and liaising with the committee secretaries</li></ul><br>

<ul><li>Assisting in drafting the legal departments policies and procedures to ensure that they are in line with ENEC guidelines</li><li>Supporting the implementation of the legal departments policies and procedures and such other tasks as may be required to support achievement of department objectives

<p>The Legal Consultant will provide expert legal guidance to Delta Medical L.L.C. across all aspects of its operations, including healthcare regulatory compliance, commercial transactions, corporate governance, supplier partnerships, and risk management. The role ensures the company&rsquo;s activities comply with UAE laws, Abu Dhabi Department of Health (DoH) regulations, and all applicable medical device and pharmaceutical requirements.</p><p><b>Key Responsibilities</b></p><p><b>1. Legal Advisory &amp; Compliance</b></p><p>Provide legal advice on UAE federal laws, Abu Dhabi regulations, and industry standards related to medical devices, pharmaceuticals, and healthcare services.</p><p>Ensure company compliance with DoH, MOHAP, ADGM, and other regulatory bodies.</p><p>Develop and maintain internal compliance frameworks, policies, and procedures.</p><p>Advise on data protection, patient information confidentiality, and relevant healthcare privacy laws.</p><p><b>2. Contract Drafting &amp; Negotiation</b></p><p>Draft, review, and negotiate a wide range of agreements, including:</p><p>Supplier and distributor contracts</p><p>Service-level agreements</p><p>Licensing and agency agreements</p><p>Employment contracts</p><p>Non-disclosure and confidentiality agreements</p><p>Ensure all contracts protect the interests of the company and comply with UAE commercial law.</p><p><b>3. Corporate &amp; Regulatory Affairs</b></p><p>Support company registration, renewals, and regulatory filings.</p><p>Advise on corporate governance, board resolutions, and internal approvals.</p><p>Coordinate with government authorities regarding permits, product registrations, and compliance inspections.</p><p><b>4. Risk Management</b></p><p>Identify, assess, and mitigate legal and commercial risks associated with company operations.</p><p>Provide guidance on dispute resolution, litigation strategy, and settlement options.</p><p>Manage external legal counsel where needed.</p><p><b>5. Business Support</b></p><p>Provide legal input on tenders, bids, and government procurement processes.</p><p>Support sales, operations, and supply chain teams with legal interpretations and decision-making.</p><p>Conduct internal trainings on compliance, anti-corruption, and contract obligations.</p><p>Qualifications &amp; Requirements</p><p>Bachelor&rsquo;s degree in Law; Master&rsquo;s degree or relevant certification is a plus.</p><p>5+ years of legal experience, preferably within the healthcare, pharmaceutical, or medical device sector.</p><p>Strong knowledge of UAE laws, particularly commercial, corporate, labor, and healthcare regulations.</p><p>Experience drafting and negotiating commercial contracts.</p><p>Excellent analytical, communication, and advisory skills.</p><p>Fluency in English and Arabic is required.</p><p>Job Types: Full-time, Part-time</p>
