Secretary to the Board of Directors

Key Responsibilities

1. Board Meetings and Resolution Management

Responsible for the preparation, organization, and documentation of meetings for the Board of Directors, General Meetings of Shareholders, and various specialized committees.

Draft, organize, and maintain meeting minutes and resolution documents, ensuring the accuracy and compliance of the resolution content.

Track the implementation of meeting resolutions and report progress to the Board of Directors.

2. Corporate Governance and Compliance

Ensure company operations comply with local laws and regulations (e.g., Oman Commercial Companies Law) and the Articles of Association.

Assist in drafting and revising policies and regulations related to corporate governance.

Coordinate corporate information disclosure to ensure authenticity, accuracy, and completeness.

3. Communication and Liaison

Facilitate information flow between the Board of Directors and the executive management team to ensure smooth communication.

Serve as the primary point of contact for external liaison with regulatory authorities, shareholders, and external auditors.

Manage shareholder relations, maintain the register of shareholders, and handle matters related to share transfers.

4. Archives and Document Management

Manage the archiving and custody of key corporate documents (including licenses, legal instruments, and Board records).

Maintain records of duty performance and compensation assessments for Directors and senior executives.

Qualifications

Bachelor’s degree or above; majors in Law, Finance, Business Administration, or related fields are preferred.

Proficiency in English as a working language: Excellent English listening, speaking, reading, and writing skills, with the ability to fluently draft legal documents and meeting minutes in English and conduct business negotiations. Native or fluent level in Chinese is required.

Over 5 years of relevant work experience; familiar with corporate governance structures and Board operation procedures. Experience in multinational corporations or overseas assignments is preferred; familiarity with laws and regulations in the Middle East is a strong plus.

Familiar with the Company Law, Securities Law, and relevant regulatory regulations. Possess excellent organizational and coordination skills, strong confidentiality awareness, and high professional integrity.
