Senior Lawyer

Main Responsibilities:

• Work with the TV Content - Business and Legal Affairs Director and the responsible managers and the other colleagues in relation to relevant workflows of the Company in the media and telecommunication sector;
• Draft, negotiate and review agreements and relevant documents regarding the Company business especially I. content and program licensing, format acquisition;ii. inhouse productions andiii.Global distribution of scripted, non-scripted and factual programs and formats, including without limitation broadcast and channel distributions and various partnership models etc.
• Analyzing, drafting, negotiating, finalizing, and overseeing the approval process for those agreements including ensuring the follow-up of the rights and obligations of the Company within the framework of the contracts, be aware of the signature processes are completed also.
• Work closely as a support team with, Acquisition, Content, Finance, unites enabling them to meet their commercial objectives by providing efficient legal affairs processes and systems to give accurate and timely counsel to business in a variety of legal topics regarding their daily need. Structuring cooperations and acting as a controller pursuant to the related law and regulations.
• Co-operate as part of a team of the department and other business affairs professionals and, as appropriate in other regions required to also support the business in a timely and effective way;
• Identify legal issues; assess and calculates the risk as per different business scenarios and offers legal solutions arise in the day-to-day operations in all areas of contractual arrangements and commercial practices;
• Remain current on new technologies and rights issues in the media and telecommunication landscape, updating and advising teams of industry;
• Experienced in structuring agreements and be part of the negotiations of sport channel distributions, program licensing, telco agreements, restructuring, international copyright and intellectual property agreements, co-operation agreements, symulcrypt agreements, EPG contracts, procurement of dubbing and subtitle services, local and foreign Content and format licensings (such as tv series, movies, channels and specific programs) both for PAY TV, OTT and FREE TV platforms and related media platforms;
• Contract Management and centralized coordination of in-house production agreements between the production and financial team; preparing and controlling the standard and general conditions separate for the various right holder such as cast, musician, director, producer etc. and service procurements for each production project;
• Coordination in between Licensing and Sale and Distributions and Financial Teams regarding all production (in house and other) operations;
• Giving support to the drama and commercial team during the negotiations conducted with the Producer side for the tv series production agreements;
• To start and manage the specific projects such as IP Review Projects- Due Diligence Projects for creating a database of IP Rights for the need of Global Sales and other departments

Basic Qualifications required for this position are as follows:

• Excellent written and verbal communication in English and in Turkish
• This roles would suit someone with 3-8 PQE, however you are also welcome to demonstrate the necessary skills and knowledge in order to fulfil the role(we are planning to hire both junior and senior candidates for a new structured departmant)
• Expertise in television and digital media especially acquisition and sales is an asset
• Experience and knowledge in consumer protection law and subscription based services/platforms;
• Proven ability effectively to research and analyze complex legal and compliance issues using all relevant information sources
• Ability to recognize and respond quickly and pragmatically to urgent situations
• Strong business and legal advisory skills with an international commercial mind-set
• Sets priorities and delivers in a demanding, fast-paced and results-oriented environment
• Determine appropriate action/solutions to more complex legal and business issues and articulate them to clients
• Able to communicate in multi-cultural business environment
• Strong communication, negotiation follow-up and organizational skills
