Position Overview:
The Senior Manager – Corporate Law will serve as the lead legal advisor for MAIR Group’s retail, commercial, and real estate business units. This role demands deep expertise in UAE commercial companies’ law with emphasis on PJSC and property law, corporate structuring, and regulatory compliance. The incumbent will oversee legal strategy, contract management, and risk mitigation across complex transactions — from retail leasing to land acquisitions and joint ventures.
You will act as a strategic partner to senior management, balancing business agility with legal prudence to protect the Group’s interests across its diversified portfolio.
Key Responsibilities:
Corporate & Commercial Legal Management

Draft, review, and negotiate a wide range of commercial agreements including
retail leases, supplier contracts, and service-level agreements.

Advise on
corporate governance
, entity structuring, mergers/acquisitions, and compliance with
UAE Commercial Companies Law
and other relevant regulations such as SCA and ADEX.

Ensure alignment between corporate legal practices and business objectives across MAIR’s subsidiaries and joint ventures.

Support
board and shareholder resolutions
, annual filings, and maintain statutory registers in compliance with UAE laws.
Real Estate Legal Oversight

Oversee
property acquisition, leasing, and development contracts
for retail and commercial real estate assets.

Review and negotiate
lease agreements, MOUs, sale-purchase contracts
, and manage disputes or renewals.

Provide legal guidance on
free zone and mainland property regulations
, tenancy laws, and RERA/DMT requirements.

Support the
leasing and property management teams
with documentation, compliance, and legal risk assessments.
Risk, Compliance & Litigation

Identify and mitigate legal risks associated with
corporate transactions, retail operations, and real estate developments.

Manage and liaise with
external law firms
on litigation, arbitration, or regulatory matters when necessary.

Develop and implement
legal policies, templates, and training programs
for internal stakeholders.

Advise management on
contractual breaches, claims, or potential liabilities.
Strategic & Advisory

Act as a key advisor to
executive leadership
on all legal implications of business strategies and projects.

Support
cross-functional initiatives
including , acquisitions, partnerships, and corporate restructuring.

Stay abreast of
legislative changes
, new regulations, and market practices in the UAE and GCC.
Qualifications & Experience:

Bachelor’s or Master’s degree in
Law (LLB / LLM)
from a recognized university.

Minimum
10–15 years of legal experience
, with at least 5 years in a
senior corporate or real estate legal role
within the UAE with a PJSC experience.

Strong knowledge of
UAE Commercial Companies Law, SCA, ADEX, Civil Code, Real Estate Laws (RERA/DMT), and Labor Law.

Proven experience managing
multi-entity corporate structures

retail, FMCG, or real estate sectors.

Demonstrated ability to
