The Role

The Senior Technology Transactions Attorney plays a key leadership role at Gouchev Law, not only delivering exceptional legal work but also helping drive the firm’s continued growth. This is an opportunity for an experienced attorney who is both an outstanding practitioner and a visionary, bringing enthusiasm, business acumen, and a polished presence to every interaction , whether in client meetings, on Zoom, or within the team.

We’re a high-performing, collaborative firm focused on sophisticated technology transactions. Success in this role requires a commercial mindset, strong leadership, and comfort with client development and relationship building.

Our work centers on supporting innovative companies through complex commercial agreements, software licensing, artificial intelligence laws and contract provisions, data privacy, platform development, corporate documents and strategic partnerships. Our clients range from global technology, media, and professional services companies as well as healthcare, insurance, e-commerce and travel.

Must have experience being lead on the following:

• Negotiate SaaS and AI platform agreements with clients and vendors
• Advise on IP Protection Strategies, Data Privacy and Security Protocols
• Draft and Review DPAs
• Structure and negotiate complex technology transactions autonomously in a fast-moving environment.
• M&A deals lead
• Investment Capital Raises
• Various business agreements, i.e. Stock and Asset Purchase Agreements, Shareholder Agreements, Operating Agreements
• Complex Terms of Service and Privacy Policies
• Oversee junior and mid-level attorneys

Qualifications

• JD from an accredited law school
• Focus on driving productivity and profitability
• Active bar license in NY
• 10+ years of technology transactions experience, with at least 5 years in a leading, client-facing role
• 4+ years experience at a law firm required, Big Law training preferred

Technical and Industry Experience

• Demonstrated experience in software and technology services sector, AI and data privacy
• Deep understanding of IP licensing structures
• SaaS and Software licensing, cloud services agreements, API integration agreements
• Custom development contracts, open-source compliance
• E-commerce, tech consulting, tech sector, healthcare and media

Pay range based on experience and location. A book of business may result in a higher compensation.

Job Type: Full-time

Pay: $90,000.00 - $155,000.00 per year
