Objective of job:
  • Provide legal support and guidance for the Region and the Group.

Principle activities:
  • Create and negotiate drafts of contracts, legal documents and legal correspondence.
  • Assure legal representation for the Group.
  • Advise internal departments as well as Group Legal in matters of law.
  • Engage, assist and monitor outside counsel in all matters; e.g. litigation, agency actions, audits and application for state and local benefits, such as corporate incentives and tax benefits.
  • Manage and maintain all aspects of local corporate governance; e.g. form new business entities; draft resolutions, shareholder agreements, operating agreements, etc.
  • Pursue and apply for any and all applicable state and local corporate incentives and tax benefits.
  • Assist Group Legal in the professional translation of internal contractual and process documents.
  • Proactively review and assess corporate developments for all functions for potential legal issues and advise and implement risk management to minimize risks.
  • Assist Compliance Officer in the USA and/or Compliance Function globally in matters of US law and internal regulations, conduct investigations and coordinate external legal support as needed.
  • Coordination and control of central directives/ contractual concepts within the scope of regional and international application.
  • Involvement in the development of the global legal strategy, implementation of the strategic objectives in the area of responsibility by elaboration of specific roadmaps per region / country/ department.
  • Planning and managing the U.S legal budget, in coordination with the supervisor and ensuring budgetary compliance.
  • Develop legal programs and processes by providing relevant expertise (i.e. in the form of method and process knowledge) worldwide.
  • Define guidelines for the implementation of international legal tasks.
  • Act technically as internal and external contact person within his/her own and neighboring areas of expertise; lead internal work groups (e.g. task forces, etc.)
  • As needed, create internal (e.g. documentation, etc.) and external publications (e.g. in professional journals or at professional meetings, etc.) and present (externally as required) such knowledge, documentation and publication.
  • Recognize general need for continuing education in his/her own field within the company; plan and conduct internal and external training on complex topics, both domestically and in other countries; define and further develop specific methodological knowledge.
  • Determine and optimize internal standards and complex processes for all local functions within his/her legal field of expertise, taking into account relevant systems, instruments and methods.
  • Observe/identify long-term trends in his/her area of expertise in order to develop concepts; suggest recommendations for action to mitigate risk associated with those trends.
  • Conduct mainly conceptual activities; cooperate in the strategy development of the department.
  • Analyze how legal development and current laws and regulations and determine their potential effects on the Group.
  • Act as Data Protection Coordinator and oversee and implement regional data protection strategies, ensuring compliance with privacy regulations and safeguarding sensitive information.
  • Advising executives on legal topics, both domestic and international.
  • Create and provide legal training to employees on key compliance issues.

Job Requirements:
  • Bar membership in good standing.
  • Juris Doctor from an accredited law school.
  • 6 to 8 years In-house legal experience for a large/medium organization.
  • Strong technical knowledge with Legal Writing, Legal Research, Problem solving, Compliance Management, Corporate Governance, Litigation Management and Data Protection Privacy.
