Summary
The TLS Legal and Tax Compliance Consultant offers extensive assistance in legal and tax matters, ensuring compliance with corporate legal requirements and tax regulations across all business functions. This role plays a key part in shaping and enhancing business strategies, supporting tasks such as document preparation, contract management, research, and client-related deliverables. This role will provide general legal and operational guidance to TLS clients, including support for corporate structure, documentation, and implementation. Additionally, this position assists the Legal Director and the legal team with various legal matters, encompassing labor, litigation, corporate, and compliance-related issues.
Responsibilities
As the TLS Legal and Tax Compliance Consultant, your responsibilities will include, but are not limited to:
- Support the TLS Legal Director in all legal matters, including, but not limited to, labor, corporate, compliance, and litigation.
- Ensure all TLS clients meet ongoing economic substance requirements.
- Lead the development of strategic roadmaps, recommendations, structuring, implementation, and strategies for clients.
- Assist in sourcing and coordinating external resources to support legal or litigation needs.
- Provide direct assistance to the TLS Legal Director in overseeing and supporting TLS outside counsels in any Company’s litigation processes.
- Investigate, research, and analyze a wide spectrum of legal issues and business challenges to support informed decision-making.
- Liaise with TLS departments to ensure legal compliance in all TLS client structures and strategies.
- Prepare and deliver presentations to clients on business strategies and organizational structures.
- Answer client questions and concerns.
- Gather, verify, and process client information and needs to complete all required transactions.
- Interface with the client and their personnel to obtain information and deliver projects.
- Monitor and document client progress.
- Assist with the client’s tax compliance needs and update the tax reports as needed.
- Apply tax and legal technical knowledge to specific client situations.
- Develop and draft contracts and legal documents, including but not limited to Independent Contractor Agreements, PRS Services Agreements, Buy-Sell Agreements, Membership Certificates, Redemptions and Resolutions, and Suspense and Termination Agreements.
- Independently review and analyze legal documents related to ongoing litigations and assist in complex HR matters.
- Perform other projects as assigned by Management.
- Provide feedback to the Legal Director and TLS Manager regarding client needs and, when necessary, develop and generate strategies to address them.
- Generate research and analysis of a wide range of corporate law, tax law, Uniform Commercial Code, business transactions, and legal issues.
- Maintain corporate records and documents.
- Create and/or document policies, procedures, and programs
- Track and manage deadlines and key steps in any service or legal issues.
- Structure, draft, review, and analyze reports and other legal documents, as needed.
- Guide managers with grants, rules, and regulations.
- Assist the Legal Director with the training of new team members.
- Clearly communicate work plan and project objectives to clients and cross-functional teams.
- Work as part of a cross-functional team.
Requirements
- Juris Doctor with preferred experience in business law, tax law, and finance. Minimum 5 years of experience in a law firm, in-house, or corporate/accounting professional setting.
- Possesses a high level of confidentiality.
- Good problem-solving, interpersonal, organizational, and analytical skills.
- Ability to multitask and work on complex projects simultaneously and see them to completion with limited supervision.
- Ability to take responsibility, to work well as a team member, as well as work independently.
- High level of interpersonal skills with an ability to handle sensitive and confidential situations and documentation.
- Be highly driven to succeed, creative, hard-working, and adaptable to a fast-paced, high-intensity work environment.
- Excellent verbal and written communication skills in English.
- Strong presentation skills and ability to articulate complex information.
- Ability to simultaneously work on several projects and effectively manage deadlines.
- Knowledge of Puerto Rico corporate and tax law.
- Highly detail-oriented with a critical degree of accuracy regarding data entry and analysis.
Salary range posted based on candidates with a Juris Doctor and 5 to 8 years of experience.
Job Type: Full-time
Pay: $54,400.00 - $64,500.00 per year
