Role OverviewDBS Technology Services India Private Limited (DTI) is seeking a highly experienced and qualified individual for the role of Head - Legal, Compliance & Secretarial, based in Hyderabad, India. The successful candidate will be responsible for overseeing all legal, compliance, and secretarial functions within DTI, ensuring adherence to regulatory requirements and internal policies for Technology subsidiary (GCC) of DBS Bank having its offices in SEZ premises.Key ResponsibilitiesCorporate Secretarial (India)* The successful candidate will be officiating Company Secretary of entity and ensure full compliance with Companies Act, 2013, including: * Board and Leadership Support: Active and strategic responses to board inquiries and directives* Board, Committee & General Meetings (agenda, minutes, notices, resolutions., Conduct, closure* Maintaining statutory registers* Annual filings (AOC-4, MGT-7, DIR-related filings, etc.)* Director appointments, resignations, remuneration approvals* Shareholding & shareholder related matters, investment approvals and corporate actions* Advise the Board on corporate laws, governance and statutory obligations.* Build and lead secretarial systems, trackers, and SOPs across the organisation.SEZ Compliance (Core Function)* Ensure 100% compliance under SEZ Act 2005 & SEZ Rules 2006.Handle interactions with Development Commissioner (DC), Unit Approval Committee (UAC), Specified Officer (SO)* Manage Annual Performance Report (APR), Monthly Performance Report (MPR), SOFTEX forms, B-17 Bond, LUT, and import/export procedures, NFE (Net Foreign Exchange) fulfilf* Letter of Approval (LOA) and BLUT Renewal* Lead audits, inspections, and represent the unit before SEZ authorities.Legal & Corporate Governance* Ensure compliances with all local regulatory and statutory requirements related to HR, Facilities, finance, IT, SEZ, IUT but not limited to Support the Complex Legal and Compliance Landscape including GEN AI and Data Protection laws & requirements thereof* DPDP Act/Rules – Implementation* Commercial contract lawLegal Management (Corporate)* Draft, review, and negotiate all business agreements including but limited to : * Inter Company Agreements (outsourcing/non outsourcing)* Technology service agreements* SaaS contracts* MSAs, LCA, SOW, NDAs, partner contracts* Vendor, client, and consultant agreements* Manage legal risks and provide business-aligned legal advice.* Legal Advice: Provide advice on legal matters and assess deviations from established guides and policies* Lead dispute resolution, notices, and litigation management (if any).Compliance management* Monitor Group & Internal compliance framework.* Group Policies Applicability Assessment to ensure Subsidiary Governance Including Local Policies; Create and maintain policies: * Anti-bribery & corruption (ABC)* Whistleblower* Data protection & privacy compliance* Develop & Maintain compliance dashboards, risk registers, bond registers, internal SOPs, and annual compliance plans.* Conduct internal compliance assurance tests and support internal & external audits.* Internal Committees: Serve as a member of internal committees, such as the Prevention of Sexual Harassment (POSH) Committee, GRC, Disciplinary Committee contributing to policy implementation and grievance redressal* Employee Case Management: Advisory & support on employee case management & partnership with Employee Relations TeamLeadership & Coordination* Strategic thinking with operational execution strength.* Mentor and lead a team across legal, compliance, and secretarial functions. Managing Talent Development and Retention thereof* Coordinate with auditors (statutory, internal, SEZ, tax).* Collaborate closely with tech, HR, finance, operations, DTI Management, Directors and Group LCS teams.* Represent the company before regulators, partners, and authorities as required
