Key Responsibilities:

Execute and monitor all compliances with the Securities and Exchange Commission of Pakistan (SECP), State Bank of Pakistan (SBP), and Central Depository Company (CDC).

Interpret and analyze new and existing SECP and SBP circulars, regulations, and directives to ensure the bank's policies and procedures remain up-to-date.

Assist in the timely filing of all statutory returns, forms, and reports with the relevant regulatory bodies.

Act as a key point of contact and liaise with external stakeholders, including the Registrar of Companies, external auditors, and legal counsel.

Coordinate effectively with various internal departments to gather necessary information for compliance and reporting purposes.

Assist the line manager in the end-to-end preparation, compilation, and distribution of the Board and Board Committee meeting packs.

Draft, review, and finalize accurate Board and Committee resolutions and notes of discussions in a timely and confidential manner.

Maintain and update the statutory registers and records of the bank.

Handle all correspondence and coordinate with external auditors during the annual audit and other regulatory audits.

Provide necessary documentation and support to ensure a smooth audit process.
Qualification & Experience:

Qualification:
Bachelor’s degree in Law, Commerce, Business Administration, or a related field. A Master’s degree or relevant professional certification (e.g., ICSA) will be a plus.

Experience:
Minimum of 2-3 years of relevant experience in a Company Secretary’s office, legal, or compliance department within a bank, financial institution, or a large corporate entity.
