Job Purpose:
Th incumbent would support secretarial compliance, governance processes, and corporate actions for overseas hospitality entities.
Key Responsibilities
:

Assist in secretarial and other compliances of primarily overseas entities ensuring adherence to applicable laws and standards, incl. maintenance of statutory registers/ records

Assisting in convening and conducting the board/shareholder/committee meetings (incl. all pre/ post meetings activities like drafting of notice, agenda and minutes etc.)

Assist in M&A, restructuring and financing transactions

Liaising with various stakeholders like directors, shareholders, advisors, government departments, consultants, auditors (statutory, internal & compliance)

Preparation & ensuring timely filing of forms/returns/documents etc. with registrars, AD Bank/ RBI (Remittances/Annual Return/ APR), and other regulators

Drafting of directors’ report, business/entity reports, annual return, notices, petitions/applications and replies to regulators/ registrars/ Govt. agencies etc.

Corporate actions like issue, allotment, transfer of shares/dematerialization of shares, amendment of constitutional documents, change in governance structures

Ensuring all compliances under the corporate laws, secretarial standards, FEMA, and related other corporate laws
Educational Qualifications:

Membership of ICSI (mandatory)

Degree in law (desirable)
Competencies & Soft Skills:

Excellent knowledge and practical experience in the area of corporate law and rules, secretarial standards/practices, FEMA

Ability to interpret and apply multi-jurisdictional laws (preferred)

Exposure to international corporate structures and cross-border compliance (preferred)

Excellent written and spoken communication, time management, and interpersonal skills

Proficiency in MS Office and digital tools
