You will work closely with Circana’s deal team and senior leadership on high-value transactions that support our ambitious expansion goals. Reporting to the Deputy General Counsel, Corporate, Securities & Litigation, and partnering with our Strategy and M&A teams, you will lead legal efforts across the full transaction lifecycle—from target assessment and deal structuring to negotiation, execution and integration.

Depending on your experience and interests, you may also advise on governance matters and provide general corporate support to functions such as Accounting, Treasury, Investor Relations, and Tax.

Key Responsibilities

  • Lead legal support for acquisitions, joint ventures, equity investments, divestitures, and other strategic transactions.
  • Conduct and coordinate due diligence on potential targets, collaborating with cross-functional teams.
  • Structure and negotiate deals aligned with Circana’s strategic objectives and risk profile.
  • Provide legal guidance and training on M&A topics to senior leadership and internal stakeholders.
  • Serve as legal project manager for transactions, coordinating internal and external legal resources.
  • Manage outside counsel relationships and ensure efficient, high-quality legal support.
  • Support contract negotiations, transaction closings, and integration activities.

Additional Responsibilities

As part of a nimble Legal team with global reach, you may also contribute to broader corporate legal matters, including governance, securities compliance, and financing support.

Qualifications & Key Attributes

  • Juris Doctor (J.D.) from a nationally recognized law school; licensed and in good standing in at least one U.S. state.
  • Minimum of 3 years of M&A experience at an AmLaw 200 law firm; in-house experience with a multinational or high-growth company preferred.
  • Experience in technology, data analytics or private equity-backed environments is a plus.
  • Strong business acumen and ability to deliver practical, risk-balanced legal advice.
  • Excellent communication, negotiation, and problem-solving skills.
  • Proactive, adaptable, and able to thrive in a fast-paced, dynamic environment.
  • Collaborative team player with a positive attitude and strong ownership mindset.
