Job Summary:

We are seeking a skilled and detail-oriented Legal Counsel to join our company. The ideal

candidate will be responsible for handling a broad range of legal and compliance matters,

ensuring legal risks are mitigated while supporting business growth and operations.

Key Responsibilities:

1. Contract Drafting, Negotiation, and Review:

• Responsible for drafting, reviewing, and negotiating a variety of agreements, including SaaS agreements, reseller agreements, NDAs, MOUs, license agreements, and service agreements.
• Ensure all contracts align with business objectives and regulatory requirements.

2. Legal Document Management:

• Maintain a repository of all legal documents, ensuring proper execution and storage of agreements.
• Support management by streamlining contract execution processes and ensuring compliance with record-keeping requirements.

3. Corporate Secretarial Compliance:

• Assist in secretarial compliance in coordination with the finance team, including conducting board meetings, AGMs, and maintaining essential corporate records such as Minutes of Meetings and board resolutions.

4. Legal Notices and Dispute Resolution:

• Draft and send legal notices on behalf of the company in cases of breaches by third parties. Review and respond to legal notices received by the company after consultation with relevant stakeholders.
• Support dispute resolution efforts as needed.

5. Regulatory and Compliance Advisory:

• Provide guidance on regulatory compliance, including data privacy laws such as GDPR and the DPDP Act.
• Ensure business operations align with applicable legal frameworks and industry best practices.

6. Periodic Legal Audits:

• Conduct regular audits to ensure that legal agreements and compliance measures are effectively implemented across all business verticals.
• Identify potential legal risks and propose mitigation strategies.

7. Immigration and Employee Visa Support:

• Assist employees in obtaining work visas such as H1B, EB1C, L1, and STEM OPT by providing legal guidance and coordinating with external immigration counsel as required.

8. Legal Risk Assessment for New Projects:

• Advise the company on potential legal risks and implications related to new business initiatives and projects.
• Ensure legal safeguards are in place to protect company interests while fostering business growth.

Qualifications & Skills:

● Bachelor's or Master’s degree in Law (LLB/LLM) from a recognized institution.

● 5 years of experience in corporate law, preferably in the SaaS or technology sector.

● Strong experience in contract drafting, negotiation, and review.

● Knowledge of data privacy laws, intellectual property rights, and commercial laws.

● Excellent communication, negotiation, and analytical skills.

● Ability to work independently and collaboratively in a fast-paced environment.

Preferred Qualifications:

● Experience working in an MNC or a global legal environment.

● Familiarity with US, UK, and EU contract laws, regulatory frameworks and data

privacy laws.
