Company Secretary

· Preparation and Drafting of various resolutions, minutes, explanatory statements, notice, agenda and supplementary papers for consideration of board.

· Increasing the Authorized Share Capital of the company, making alterations of Memorandum & Articles of companies, Increasing Paid up Share Capital of company by making Right Issue, Private Placement, Bonus issue.

· Appointment and Resignation of Directors, Key Managerial Personnel and Auditors.

· Registration, Modification & Satisfaction of Charges and their filing with the Registrar of companies.

· Incorporation of all types of companies i.e. Private, Public, One Person Company, Section-8 Company, Producer Company, Government Companies and LLP.

· Organizing Board Meetings, ensuring compliance with Board of Directions, conducting General Meetings and filing of returns with the Registrar of Companies.

· Work relating to share transfer and issue of share certificates.

· Drafting of CSR Policy under section 135 of Companies Act, 2013 & Compliance of CSR.

· Registration of Partnerships in ROF and Trust in Charity Commissioner.

· Filing of Annual returns of Trust.

· Preparation and filing of Petitions for revival of Company.
