Core Objective:
To manage the end-to-end secretarial and legal compliances of a Farmer Producer Company, ensuring strict adherence to Chapter XXIA (Section 378A to 378ZU) and Section 8 Companies of the Companies Act, 2013, while facilitating efficient governance between the Board of Directors and Member-Producers.
Key Responsibilities:
- Governance: Direct responsibility for compliance under Companies Act, 2013, including the unique rules regarding membership, voting rights, and patronage bonus.
- Meeting Management: Pre-arrangement, scheduling, and conducting Board, Committee, and Annual General Meetings (AGM). Preparation of detailed agendas, notices, and explanatory statements.
- Minutes & Documentation: Drafting and maintenance of Minutes and Resolutions in strict accordance with Secretarial Standards (SS-1 & SS-2).
- Board Advisory: Updating and guiding the Board of Directors/Shareholders on their specific duties, powers, and liabilities unique to a Producer Company structure.
- Statutory Filings: Preparation and filing of various e-forms with the ROC (including AOC-4, MGT-7, and forms related to Director appointments/changes).
- Membership Management: Maintaining the Register of Members and ensuring compliance regarding the transfer of shares and distribution of "Patronage Bonus" or "Limited Return."
Required Skills & Competencies
- Active Membership: Must hold an active Associate Membership with ICSI.
- Regulatory Knowledge: Strong grasp of the Companies Act 2013, specifically the nuances of Farmer Producer Companies and Section -8 Companies.
- Adaptability: Eager to learn the operational complexities of rural/agricultural corporate structures.
- Precision: High attention to detail in legal drafting and compliance tracking.
