About the Company:

About the Role:

We are looking for a Company Secretary to manage corporate governance, statutory compliance, and financial compliance in a dynamic mid-sized solar company. This role focuses on secretarial responsibilities with a strong emphasis on company law compliance. The ideal candidate should have proven experience in company secretarial functions and a solid grounding in accounts, financial filings, and compliance with statutory requirements.

Key Responsibilities: Company Secretarial & Compliance:

  • Ensure compliance with the Companies Act, 2013 and corporate governance regulations.
  • Coordinate with the Registrar and Transfer Agent (RTA) for shareholder services, including the effective management of demat accounts and related compliance matters.
  • Manage Registrar of Companies (RoC) filings, annual returns, board resolutions, and statutory registers.
  • Organize and record minutes for Board Meetings, General Meetings, and Committee Meetings.
  • Ensure timely compliance with statutory reporting requirements related to finance and accounts.

Finance & Accounting Compliance:

  • Work closely with the finance and accounts team to ensure statutory compliance with accounting standards, income tax, and GST regulations.
  • Ensure accuracy and timeliness of financial disclosures, filings, and compliance audits.
  • Support in preparation of financial statements, annual reports, and other statutory reports.
  • Coordinate with auditors for statutory, internal, and compliance audits.
  • Maintain a well-organized documentation system for all compliance-related documents, both digital and physical.

Risk & Corporate Governance:

  • Monitor and ensure adherence to tax, labour laws, and financial regulations.
  • Identify compliance risks and recommend mitigation strategies.
  • Keep the leadership team informed about regulatory updates impacting finance and accounts.

Knowledge, Skills & Abilities:

  • Strong knowledge of corporate laws, Companies Act, and financial compliance frameworks.
  • Sound understanding of accounting principles, statutory compliance, and tax laws.
  • Excellent documentation, compliance management, and coordination skills.
  • High attention to detail, problem-solving ability, and stakeholder management.
  • Ability to work in a fast-paced and growing organization.
  • Strong verbal and written communication skills in English.

Software Tools:

  • MCA Portal for RoC filings and corporate compliance.
  • Microsoft Office Suite including Word, Excel, and PowerPoint.
  • Familiarity with accounting and compliance software is an advantage.

Educational Qualifications:

  • Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI) is mandatory.
  • Bachelor’s/Master’s Degree in Commerce with specialization in Accounts/Finance is preferred.

Work Experience:

  • 3-5 years of experience in company secretarial and compliance roles.
  • Strong exposure to accounts, finance compliance, and statutory filings.
  • Prior experience handling board meetings, RoC filings, financial compliance audits, and coordination with auditors.

Job Types: Full-time, Permanent

Pay: ₹800,000.00 - ₹1,200,000.00 per year
