Trustpoint has an immediate opening for an experienced Governance and Conflicts Attorney for a long-term contract engagement expected to continue through the end of the year with a nationally-respected litigation boutique law firm in their DTLA office. This hybrid position will support firmwide risk management, conflicts clearance, and governance initiatives, while providing strategic guidance on complex ethical and compliance matters. The ideal candidate brings strong analytical judgment, deep knowledge of professional responsibility rules, and the ability to independently manage sensitive and high-impact issues.
Responsibilities:

Independently oversee conflicts clearance for complex matters, including lateral partner and group hires, sensitive client engagements, and firmwide risk issues

Serve as an escalation point for complex or novel conflicts and governance matters through resolution

Draft, review, and negotiate conflicts waivers, engagement letters, and related agreements in alignment with ethical requirements and internal policies

Review and advise on vendor agreements and third-party relationships, identifying legal, regulatory, and operational risks

Review client outside counsel guidelines and engagement agreements, identify policy deviations, assess risk implications, and draft appropriate responses

Support firmwide risk management initiatives and cross-functional projects involving Information Security, IT, Records, Finance, and Compliance teams

Maintain current expertise in ABA Model Rules of Professional Conduct and applicable state-specific variations

Advise attorneys and professional staff on governance matters including conflicts, ethical walls, retention and disposition, and engagement requirements

Support compliance with conflicts checks, new business intake, audit letters, outside counsel guidelines, and governance controls

Conduct and supervise legal research related to conflicts, ethics, lateral hiring, records disposition, and governance issues

Provide clear and practical guidance based on research findings and contribute to process and policy improvements
Qualifications:

Licensed attorney in good standing in CA

3+ years' experience supporting conflicts, governance, risk management, or legal compliance functions within a law firm or professional services environment

Strong working knowledge of ABA Model Rules of Professional Conduct and legal ethics requirements

Experience drafting and negotiating engagement letters, waivers, and related governance documents

Strong legal research, analytical, and issue-resolution skills

Ability to manage sensitive matters with discretion and sound judgment

Excellent written and verbal communication skills

Strong organizational skills with the ability to manage multiple complex priorities independently
