Overview:
Experienced Mergers & Acquisitions and Corporate Counsel to join our Legal team. This attorney will serve as the lead lawyer for all M&A activity and related corporate matters, working closely with our executive team, corporate development function, finance, and other stakeholders. The role requires deep experience in structuring, negotiating, and executing complex transactions, as well as the ability to independently drive matters to completion in a fast-paced, global environment.
Responsibilities:
  • Serve as lead counsel for domestic and cross-border M&A, joint ventures, equity investments, divestitures, strategic collaborations, and other corporate development transactions.
  • Manage all phases of deal execution, including structuring, due diligence, drafting, negotiation, and integration support.
  • Advise senior executives and the board of directors on transaction strategy, risk, and execution.
  • Oversee and coordinate external counsel, ensuring efficient and cost-effective use of resources.
  • Provide legal support for securities, governance, and general corporate matters, including support for public company reporting, subsidiary management, and board matters.
  • Partner with finance, tax, HR, compliance, and operations teams on transaction-related and ongoing corporate matters.
  • Contribute to ongoing improvement of M&A playbooks, processes, and internal knowledge management.
Qualifications:
  • J.D. from an accredited U.S. law school and active membership in at least one U.S. state bar.
  • 8+ years of legal experience, with significant focus on M&A and corporate transactions; prior experience at a top-tier law firm required, with additional in-house public company experience strongly preferred.
  • Proven ability to independently lead complex transactions from start to finish.
  • Strong knowledge of securities laws, corporate governance, and public company operations.
  • Excellent judgment, communication, and negotiation skills, with a practical, business-oriented approach.
  • Ability to thrive in a fast-paced, global environment with multiple stakeholders and competing priorities.
  • Life sciences/biotech or pharmaceutical industry experience preferred, but not required.
