ISS STOXX is growing! We are seeking an experienced and highly qualified Corporate Counsel to join our dynamic Legal team in Mumbai.
Overview:
As a member of the ISS STOXX Legal Team, the Corporate Counsel will be responsible for providing legal services and advice to ISS STOXX and its subsidiaries, with a focus on providing legal support to the company’s global sales team in connection with the drafting, negotiation, and review of complex commercial agreements including professional services and licensing agreements. The Corporate Counsel will also provide legal support for compliance matters (including corporate, securities, and data privacy law), procurement efforts, subsidiary management, and other general corporate matters.
Responsibilities:

Provide legal support to global sales team on outbound sales agreements encompassing a wide range of products and services including proxy research and voting services; corporate governance ratings and analysis; sustainability solutions; asset management intelligence services; portfolio execution and monitoring services; and securities class action filing services.

Structure, draft, review, analyze, and negotiate complex services agreements and license agreements, including professional services agreements, data and software licenses, procurement and supply agreements, and nondisclosure agreements.

Assist with modifications and updates to template agreements.

Assist with regulatory compliance matters including corporate, securities, and data privacy requirements.

Assist with corporate governance matters for parent entity and its subsidiaries.
Qualifications:

LL.B. or J.D. degree from a top-tier law school (i.e., a premium institute), excellent academic record, and member in good standing of the Bar in the relevant jurisdiction.

Minimum of five years of relevant experience at a top law firm and/or as in-house counsel, with experience in handling corporate and commercial matters for multinational firms.

Ability to review, analyze, and draft contract provisions in support of the negotiation of complex commercial agreements with clients, vendors, and other third parties.

Ability to lead the negotiation of complex commercial agreements and work effectively with client’s counsel as well as internal stakeholders.

Strong interpersonal, analytical, problem solving, organizational, time management, and communication skills.

Ability to work in a fast-paced environment and manage multiple assignments.

Desire and flexibility to support a global business.

Ability to learn business requirements quickly, analyze legal and business risks, and propose creative, business-oriented solutions.

Ability to build and maintain strong internal client relationships.
