Corporate Counsel

General Job Description

The role is responsible for supporting the company’s corporate governance, strategic transactions, regulatory structuring, and entity management activities. The position plays a key role in enabling business expansion initiatives, joint ventures, restructuring projects, and ensuring compliance with applicable Saudi corporate, commercial, and investment regulations.

Duties & Responsibilities

  • Manage corporate governance matters across group entities, including board and shareholder resolutions.
  • Maintain corporate records, statutory filings, and constitutional documentation.
  • Support delegation of authority frameworks and internal approval structures.
  • Coordinate with regulators, government entities, and related authorities on corporate and regulatory matters.
  • Support mergers, acquisitions, joint ventures, restructurings, and spin-off transactions.
  • Support legal due diligence exercises, transaction execution processes, and corporate documentation.
  • Advise and support investment structures involving foreign investors and cross-border arrangements.
  • Support the establishment of new entities, licensing requirements, and regulatory structuring activities.
  • Support drafting and implementation of policies across corporate governance and compliance areas.
  • Monitor compliance with applicable Saudi corporate, commercial, and investment regulations.
  • Coordinate with internal stakeholders and external advisors on strategic corporate initiatives and expansion projects.
  • Maintain organized entity management records and support ongoing governance and compliance reporting.
  • Support the review, negotiation, and execution of high-value commercial contracts and strategic arrangements with government entities and public sector stakeholders.
  • Support the structuring, review, and negotiation of commercial event contracts, including venue, supplier, service provider, sponsorship, and event operations arrangements.


Requirements for the Job Opening:

  • Education & Training:
    • Law degree from a recognized institution; LL.M. preferred.
    • Saudi license to practice law preferred.
    • Professional fluency in Arabic and English required.
  • Knowledge & Years of Experience:
    • 2–5 years of experience in corporate law, M&A, or transactions, either within a law firm or in-house environment.
    • Strong familiarity with Saudi corporate regulatory frameworks and governance requirements.
    • Experience supporting corporate transactions, restructuring projects, and entity management activities preferred.
