POSITION SUMMARY
The Corporate Counsel, Business position provides legal guidance and support across the organization to ensure compliance with laws, regulations, and company policies.
PRIMARY DUTIES AND RESPONSIBILITIES include the following:
Develop a thorough understanding of the Company's business and transactions.
Draft, review, analyze and negotiate contracts.
Research and analyze legal issues, statutes, regulations and cases and prepare memoranda.
Provide legal guidance to corporate leadership on various business and risk related matters.
Coordinate and supervise work performed by outside counsel for business related matters, acting as internal support to outside counsel.
Participate in the development of corporate policies, procedures and programs.
Provide support and legal expertise for the compliance and internal audit functions.
Assist executive leadership with other legal needs of the company, as needed.
Provide support for the Chief Legal Officer, as needed.
Other duties as may be assigned.

EDUCATION AND/OR EXPERIENCE
Juris Doctorate Degree
Active Tennessee law license with no record of discipline
Minimum of three (3) years as a licensed and practicing attorney, either in private practice or in-house (Contract review/negotiation, real estate transactions, business transactions, and/or civil litigation experience preferred)
