Position Overview:
We are seeking a highly experienced and strategic
Corporate Governance & Strategy Lead
to spearhead the company-wide adoption and
execution of our new Internal Governance Framework.
This critical role will also lead and coordinate strategic organizational restructuring initiatives. This position is the key link between strategic design and practical application, ensuring our organizational structure, compliance, and culture are aligned with our business objectives and long-term growth.
Key Responsibilities:
I. Corporate Restructuring & Strategic Alignment

Lead Organizational Design:
Coordinate and drive strategic company restructuring and organizational design projects, ensuring the structure supports the new governance framework and long-term business goals.

Role and Responsibility Mapping:
Work with leadership to redefine and document new roles, reporting lines, and departmental responsibilities following any restructuring to eliminate ambiguity and ensure clear accountability.

Change Impact Assessment:
Conduct detailed assessments of how governance implementation and restructuring impact specific departments, developing targeted interventions to manage transitional challenges.
II. Governance Implementation & Project Leadership

Lead and manage the end-to-end implementation project plan for the new governance framework, ensuring milestones are met on time and within budget.

Translate the consultant-developed framework into actionable, step-by-step processes and procedural documents for each functional department.

Establish and manage a Governance Steering Committee, providing regular progress reports to executive leadership on adoption rates, challenges, and compliance status.

Identify, escalate, and proactively resolve implementation roadblocks, cross-departmental conflicts, and resistance to change.
III. Policy Integration & Documentation

Work with departmental heads to map existing policies, procedures, and controls against the new governance framework, identifying gaps and redundancies.

Develop a centralized, auditable repository for all new governance documentation, policies, and training materials.

Ensure all new policies and controls are fully compliant with relevant local laws and industry regulations.
IV. Change Management & Training

Design and deliver comprehensive training programs and workshops for all employees on the new governance policies, standards, and required behavioral changes.

Develop a clear internal communication strategy to promote awareness and acceptance of the new framework across the company culture.

Serve as the primary point of contact for employee questions and feedback regarding the new governance structure.
V. Monitoring & Quality Assurance

Design metrics and key performance indicators (KPIs) to measure the effectiveness and adherence to the newly implemented controls and policies.

Develop and execute monitoring plan to audit departments for compliance after implementation.
Required Skills and Qualifications:

Experience:
Progressive experience in corporate governance, internal controls, internal audit, Organizational Development (OD), or Change Management, with proven expertise in leading company-wide transformation projects.

Education:
Bachelor’s degree in business administration, Finance, Law, or a related field.

Implementation Track Record:
Proven experience leading the successful implementation of new, company-wide policies, procedures, control frameworks, and/or organizational restructuring initiatives.

Governance Knowledge:
In-depth understanding of corporate governance principles and risk management methodologies.

Soft Skills:
Exceptional change management, influencing, and interpersonal skills with the ability to build consensus and drive accountability across executive and operational levels.

Communication:
Excellent written and verbal communication skills in both English and Arabic for policy documentation and training delivery.
