INTRODUCTION

Corporate Legal Counsel will work closely with the General Counsel and other members of the legal department of a growing private equity firm to provide transactional support across various aspects of its operations, including real estate and media investments, credit facilities and joint ventures.


ROLE AND RESPONSIBILITIES

Transactional Support:

  • Assist in the negotiation, drafting, and review of joint ventures with institutional investors.
  • Assist in the negotiation, drafting, and review of warehouse loans, repurchase agreements and other senior credit facilities.
  • Assist in the negotiation, drafting, and review of investment-related agreements, including purchase agreements, partnership agreements, and other transactional documents.
  • Provide legal support for the firm’s commercial PACE lending program.
  • Collaborate with internal teams and external advisors to ensure smooth execution of transactions.

General Legal Support:

  • Assist in the review and negotiation of vendor contracts and other general commercial agreements.
  • Provide support for other legal functions, including corporate governance, regulatory compliance and risk management.
  • Provide legal advice and support to various departments within the firm, including finance, operations, and human resources.
  • Handle other legal matters as assigned by the General Counsel.

QUALIFICATIONS AND EDUCATION REQUIREMENTS

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction.
  • 1-3 years of experience practicing law, preferably with a focus on corporate transactions, real estate, financing or related fields.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong analytical and problem-solving skills.
  • Attention to detail and commitment to producing high-quality work.
  • Commitment to integrity, professionalism, and confidentiality in handling sensitive financial information.
