This individual will lead legal efforts across corporate governance, compliance, real estate, tax, employment and labor law, and general business law, with a strong emphasis on matters governed by New York law. The ideal candidate will provide expert legal guidance on a wide range of issues affecting the organization—including workforce policies, employee relations, and labor compliance—and ensure adherence to all applicable laws and regulations.

Description

We are seeking an experienced and strategic attorney to join our team and step into our new Corporate Legal Counsel role. This individual will lead legal efforts across corporate governance, compliance, real estate, tax, employment and labor law, and general business law, with a strong emphasis on matters governed by New York law. The ideal candidate will provide expert legal guidance on a wide range of issues affecting the organization—including workforce policies, employee relations, and labor compliance—and ensure adherence to all applicable laws and regulations.

Key Responsibilities:
  • Advise executive leadership on legal rights, obligations, and risks in complex corporate transactions and strategic initiatives.
  • Oversee corporate governance and regulatory compliance and manage internal policies to meet federal, state, and local legal requirements.
  • Provide legal advice on a wide range of legal issues such as corporate finance, commercial contracts, liability, regulatory compliance, employment law, and corporate governance.
  • Provide legal support on real estate transactions, leases, zoning, land use, and related negotiations.
  • Advise on structuring and execution of corporate transactions including joint ventures, partnerships, and reorganizations.
  • Counsel on U.S. federal and state law, with strong expertise in New York, tax law matters, including corporate tax strategy, compliance, and risk mitigation.
  • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, NDAs, and service contracts.
  • Monitor and interpret changes in legislation, case law, and regulatory developments, particularly in the New York jurisdiction.
  • Manage and collaborate with outside counsel as needed.
  • Develop and implement company-wide compliance training programs and internal controls.
  • Represent the corporation in legal proceedings.
  • Ensure the corporation’s legal rights are protected and maintained.
  • Provide training to company employees on legal and policy changes.
  • Stay up-to-date on changes in law and new regulatory developments.
  • Advise internal stakeholders on legal issues related to operations, HR, marketing, and finance
  • Manage corporate legal processes, litigations and business transactions
  • Prepare and review legal documents such as contracts, agreements, policies, and procedures

Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admitted to the New York State Bar and in good standing.
  • 10+ years of progressive legal experience in a corporate in-house counsel or law firm setting.
  • Deep knowledge of New York law, corporate law, labor law, real estate law, compliance, and U.S. tax law.
  • Experience advising on C-Corp structure and related legal matters.
  • Demonstrated ability to handle complex legal issues across multiple domains.
  • Exceptional negotiation, analytical, and communication skills.
  • Proven experience working closely with senior leadership and cross-functional business teams.

Salary

$150,000 - $150,000 per year
