Role - Legal Counsel

Location: Bangalore, MSR North Towers (Next to Manyata Tech Park)

About the Role

We are looking for a seasoned Legal Counsel with strong experience to support investments, corporate structuring, and high-value arrangements. This role is ideal for professionals who have actively drafted and negotiated key corporate agreements and have worked closely with private equity or investment-driven businesses.

Key Responsibilities

• Independently Draft structure business and other internal agreements, policies including:

Shareholders’ Agreements (SHA)

Share Subscription Agreements (SSA)

Share Purchase Agreements (SPA)

Investment and other high-value commercial contracts.

• Support private equity and investment transactions, including deal structuring and documentation.
• Perform legal and regulatory research to assist internal stakeholders with compliance-related queries and strategic legal positioning.
• Draft and structure business agreements, ensuring legal robustness and alignment with company interests.
• Lead negotiations with opposing legal counsel and external advisors.
• Provide ongoing legal support on corporate governance and compliance matters.
• Work closely with internal stakeholders to enable business objectives.
• Provide legal advisory on corporate structuring, governance, and compliance under the Companies Act, LLP Act, Indian Partnership Act, and relevant international legal frameworks.
• Collaborate with internal teams and external stakeholders to manage due diligence, regulatory filings, and transaction closures.
• Ensure all legal documentation and processes are aligned with the company’s interests and regulatory requirements.

Key Requirements

• Minimum of 3+ years of experience as a Legal Counsel in private equity and corporate law matters.
• Proven drafting experience of SHA, SSA, and other key transactional agreements (review-only experience will not be considered).
• Proven ability to manage negotiations and close transactions independently.
• Exposure to international law matters will be an added advantage.
• Excellent legal drafting, negotiation, and communication skills.
• LLB from a recognized institution; an LLM or additional specialization in corporate or international law is preferred.
